Software Development Agreement
This Custom Software Development Agreement (hereinafter referred to as "Agreement") is made and entered into as of {{date}} (the "Effective Date"), by and between:
{{client_company_name}}, a company duly incorporated under the laws of {{client_jurisdiction}}, with its principal place of business at {{client_address}} (hereinafter referred to as "Client"); and
{{developer_company_name}}, a company duly incorporated under the laws of {{developer_jurisdiction}}, with its principal place of business at {{developer_address}} (hereinafter referred to as "Developer").
Collectively, the Client and the Developer shall be referred to as the “Parties” and individually as a “Party”.
1. Scope of Work
1.1. The Developer agrees to develop custom software (hereinafter "the Software") for the Client in accordance with the specifications outlined in Schedule A, attached hereto and incorporated by reference.
1.2. Any changes or additions to the scope of work must be mutually agreed upon in writing by both Parties and may result in adjustments to the development timeline and fees.
1.3. The Developer shall provide a detailed project plan including milestones and deadlines in Schedule B.
2. Development Fees and Payment
2.1. The Client agrees to pay the Developer a total fee of {{total_software_development_fee}} ({{currency}}) for the development of the Software, as per the payment schedule outlined in Schedule C.
2.2. An initial payment of {{initial_payment_amount}} ({{currency}}) shall be due upon the signing of this Agreement.
2.3. Subsequent payments shall be made upon completion of specific milestones as detailed in Schedule C.
2.4. All invoices shall be payable within {{payment_due_days}} days of receipt.
3. Timelines and Deliverables
3.1. The Developer shall use its best efforts to complete the Software development within the timelines specified in Schedule B.
3.2. Deliverables, including source code, documentation, and any other agreed-upon materials, shall be provided to the Client upon completion of each milestone.
4. Intellectual Property Rights
4.1. Upon full and final payment of all fees due under this Agreement, all intellectual property rights, including copyrights and patents, in the Software developed hereunder shall be exclusively vested in the Client.
4.2. The Developer agrees to execute any and all documents necessary to effectuate the transfer of such intellectual property rights to the Client.
5. Confidentiality
5.1. Both Parties agree to keep confidential all non-public information, including but not limited to business plans, technical data, and customer information, disclosed during the term of this Agreement.
5.2. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.
6. Warranties and Limitation of Liability
6.1. The Developer warrants that the Software will perform substantially in accordance with the specifications in Schedule A for a period of {{warranty_period}} days from the date of final acceptance.
6.2. The Developer's liability under this Agreement shall be limited to the total fees paid by the Client hereunder.
7. Termination
7.1. Either Party may terminate this Agreement upon {{notice_period}} days' written notice to the other Party in the event of a material breach of this Agreement.
7.2. Upon termination, the Client shall pay for all services rendered up to the date of termination.
8. Governing Law and Dispute Resolution
8.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.
8.2. Any dispute arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the Parties. If no resolution can be reached, the dispute shall be submitted to arbitration in accordance with the rules of {{arbitration_body}}.
