DATA LICENSE AGREEMENT

This Data License Agreement (the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{licensor_company_name}}, a company duly incorporated under the laws of {{licensor_jurisdiction}}, with its principal place of business at {{licensor_address}} (hereinafter referred to as the 'Licensor'); and

{{licensee_company_name}}, a company duly incorporated under the laws of {{licensee_jurisdiction}}, with its principal place of business at {{licensee_address}} (hereinafter referred to as the 'Licensee').

The Licensor and Licensee are hereinafter collectively referred to as the 'Parties' and individually as a 'Party'.

1. RECITALS

1.1 The Licensor is the owner of certain proprietary data as described in Schedule A (the 'Licensed Data').

1.2 The Licensee wishes to obtain a license to use the Licensed Data for the purposes specified herein, and the Licensor is willing to grant such a license subject to the terms and conditions of this Agreement.

2. GRANT OF LICENSE

2.1 Subject to the terms and conditions of this Agreement, the Licensor hereby grants to the Licensee a non-exclusive, non-transferable, revocable license to access and use the Licensed Data solely for the following purposes: {{purpose_of_license}} (the 'Permitted Use').

2.2 The Licensee shall not use the Licensed Data for any purpose other than the Permitted Use without the prior written consent of the Licensor.

3. SCOPE OF LICENSE

3.1 The Licensed Data covered by this Agreement is specifically described in Schedule A.

3.2 The Licensee acknowledges that the Licensor retains all right, title, and interest in and to the Licensed Data, including all intellectual property rights inherent therein.

3.3 The Licensee shall not sublicense, sell, rent, lease, distribute, or otherwise transfer the Licensed Data to any third party without the express prior written consent of the Licensor.

4. LICENSE FEE

4.1 In consideration for the license granted herein, the Licensee shall pay to the Licensor a license fee of {{currency}} {{amount}} (the 'License Fee').

4.2 The License Fee shall be payable as follows: {{payment_terms}}.

4.3 All payments shall be made to the bank account specified by the Licensor in writing.

5. DATA PROTECTION AND CONFIDENTIALITY

5.1 The Licensee undertakes to protect the Licensed Data with the same degree of care as it protects its own confidential information, but in no event less than a reasonable degree of care.

5.2 The Licensee shall comply with all applicable data protection laws and regulations concerning the collection, storage, processing, and use of the Licensed Data.

5.3 The Licensee shall not disclose the Licensed Data to any unauthorized third party.

6. TERM AND TERMINATION

6.1 This Agreement shall commence on the Effective Date and shall remain in force for a period of {{term_duration}} unless terminated earlier in accordance with the provisions of this Agreement.

6.2 Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party in the event of a material breach of this Agreement by the other Party, which breach is not remedied within {{cure_period}} days of receipt of such notice.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.

7.2 Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{arbitration_location}} in accordance with the rules of {{arbitration_institution}}.

8. ENTIRE AGREEMENT

This Agreement, including Schedule A, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral.
