DATA SHARING AGREEMENT
This Data Sharing Agreement (the “Agreement”) is entered into on this {{date}} day of {{month}}, {{year}}, by and between:
{{party_A_company_name}}, a company duly incorporated under the laws of [South Africa], with its principal place of business at {{party_A_address}} (hereinafter referred to as “Party A”); and
{{party_B_company_name}}, a company duly incorporated under the laws of [South Africa], with its principal place of business at {{party_B_address}} (hereinafter referred to as “Party B”).
Hereinafter, Party A and Party B may be referred to individually as “Party” and collectively as “Parties.”
RECITALS
WHEREAS, Party A possesses certain data that Party B requires for the purpose of {{purpose_of_data_sharing_A}};
WHEREAS, Party B possesses certain data that Party A requires for the purpose of {{purpose_of_data_sharing_B}};
WHEREAS, the Parties wish to share certain data with each other in accordance with the terms and conditions set forth in this Agreement, ensuring the protection of the shared data and compliance with applicable data protection laws.
1. DEFINITIONS
1.1. “Agreed Purpose” means {{agreed_purpose_description}}.
1.2. “Confidential Information” means any information disclosed by one Party to the other Party, directly or indirectly, in writing, orally, or by inspection of tangible objects (including without limitation documents, prototypes, samples, plant, and equipment), which is designated as “Confidential,” “Proprietary,” or some similar designation, or which, under the circumstances surrounding disclosure, ought to be treated as confidential.
1.3. “Data” means the specific datasets to be shared between the Parties as described in Schedule A.
1.4. “Data Protection Laws” means all applicable laws and regulations relating to the protection of personal data and privacy in South Africa, including but not limited to the Protection of Personal Information Act No. 4 of 2013 (POPIA).
2. SCOPE OF DATA SHARING
2.1. The Parties agree to share the Data specified in Schedule A for the Agreed Purpose only.
2.2. The Data shall be shared in the format and via the method specified in Schedule B.
3. OBLIGATIONS OF THE PARTIES
3.1. Each Party shall ensure that all Data shared under this Agreement is accurate and up-to-date to the best of its knowledge.
3.2. Each Party shall process the shared Data only for the Agreed Purpose and shall not further disclose, sell, or otherwise transfer the Data to any third party without the prior written consent of the disclosing Party.
3.3. Each Party shall implement appropriate technical and organisational measures to ensure the security and confidentiality of the shared Data, protecting it against unauthorised or unlawful processing and against accidental loss, destruction, or damage.
4. DATA PROTECTION AND CONFIDENTIALITY
4.1. Both Parties agree to comply with all applicable Data Protection Laws in their processing of the shared Data.
4.2. Each Party shall ensure that its employees, agents, and sub-contractors who have access to the shared Data are informed of the confidential nature of the Data and are bound by appropriate confidentiality obligations.
4.3. In the event of a data breach involving the shared Data, the affected Party shall notify the other Party without undue delay and cooperate fully in investigating and mitigating the breach.
5. TERM AND TERMINATION
5.1. This Agreement shall commence on the Effective Date and shall continue in full force and effect until {{end_date}} or until terminated earlier in accordance with the provisions herein.
5.2. Either Party may terminate this Agreement by providing {{notice_period}} days’ written notice to the other Party.
5.3. Upon termination of this Agreement, each Party shall cease all processing of the shared Data and shall, at the option of the disclosing Party, either return or securely destroy all shared Data and any copies thereof, unless retention is required by law.
6. GOVERNING LAW AND JURISDICTION
6.1. This Agreement shall be governed by and construed in accordance with the laws of [South Africa].
6.2. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the courts of [South Africa].
7. ENTIRE AGREEMENT
7.1. This Agreement, including its Schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral.
