INTELLECTUAL PROPERTY ASSIGNMENT AGREEMENT

This Intellectual Property Assignment Agreement (hereinafter referred to as the “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

2. DEFINITIONS

For the purpose of this Agreement, the following terms shall have the meanings ascribed to them below:

**Intellectual Property (IP):** Shall mean and include all patents, utility models, designs, copyrights, trademarks, trade names, service marks, domain names, trade secrets, know-how, and all other industrial and intellectual property rights, whether registered or unregistered, and all applications and rights to apply for any of the foregoing, in any part of the world.

**Assigned IP:** Refers to the specific Intellectual Property rights being transferred under this Agreement as detailed in Schedule A.

3. ASSIGNMENT OF INTELLECTUAL PROPERTY

3.1 The Assignor hereby irrevocably and unconditionally assigns, transfers, and conveys to the Assignee, with full title guarantee, all right, title, and interest in and to the Assigned IP, free from all encumbrances, charges, and liens whatsoever.

3.2 This assignment includes all present and future rights, including but not limited to the exclusive right to use, reproduce, modify, adapt, distribute, display, perform, sublicense, and create derivative works of the Assigned IP, and the right to bring actions for past, present, and future infringements of the Assigned IP.

3.3 The Assignor warrants that it is the sole and exclusive owner of the Assigned IP and has the full right and authority to enter into this Agreement and assign the Assigned IP to the Assignee.

4. CONSIDERATION

In consideration for the assignment of the Assigned IP, the Assignee shall pay the Assignor the sum of {{consideration_amount}} ({{consideration_amount_words}}) on or before {{payment_date}}. This consideration is acknowledged by the Assignor as full and sufficient payment for the transfer of the Assigned IP.

5. REPRESENTATIONS AND WARRANTIES

5.1 The Assignor represents and warrants that:

(a) It has not previously assigned, transferred, or encumbered the Assigned IP or any part thereof to any third party.

(b) The Assigned IP does not infringe upon any intellectual property rights of any third party.

(c) All necessary steps have been taken to maintain and protect the validity of the Assigned IP.

5.2 The Assignee represents and warrants that it has the capacity and authority to enter into this Agreement.

6. INDEMNIFICATION

The Assignor shall indemnify and hold harmless the Assignee from and against any and all claims, liabilities, costs, damages, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of the Assignor's representations, warranties, or covenants under this Agreement.

7. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city}}, {{country}}.

8. ENTIRE AGREEMENT
