LEASE ASSIGNMENT AGREEMENT

This Lease Assignment Agreement (hereinafter referred to as the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}},

BETWEEN:

{{assignor_name}}, with a physical address at {{assignor_address}} (hereinafter referred to as the 'Assignor')

AND

{{assignee_name}}, with a physical address at {{assignee_address}} (hereinafter referred to as the 'Assignee')

AND

{{landlord_name}}, with a physical address at {{landlord_address}} (hereinafter referred to as the 'Landlord')

RECITALS

WHEREAS, the Assignor is the tenant under a lease agreement dated {{original_lease_date}} (the 'Original Lease') with the Landlord, for the property located at {{property_address}} (the 'Leased Premises');

WHEREAS, the Assignor desires to assign all of its rights, title, and interest in and to the Original Lease to the Assignee;

WHEREAS, the Assignee desires to accept such assignment and assume all obligations of the Assignor under the Original Lease;

WHEREAS, the Landlord consents to this assignment, subject to the terms and conditions set forth herein.

ASSIGNMENT

For valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Assignor hereby assigns, transfers, and sets over to the Assignee all of the Assignor's right, title, and interest in and to the Original Lease, including all security deposits and prepaid rents, effective as of {{effective_date}} (the 'Effective Date').

ASSUMPTION BY ASSIGNEE

The Assignee hereby accepts the foregoing assignment and assumes and agrees to perform all of the Assignor's covenants, duties, and obligations under the Original Lease from and after the Effective Date. The Assignee shall be bound by all the terms, conditions, and provisions of the Original Lease as if the Assignee were the original tenant named therein.

CONSENT BY LANDLORD

The Landlord hereby consents to the assignment of the Original Lease from the Assignor to the Assignee, subject to the terms and conditions of this Agreement. The Landlord acknowledges that the Assignor shall remain secondarily liable for all obligations under the Original Lease unless expressly released in writing by the Landlord. This consent does not constitute a waiver of the Landlord's right to consent to any future assignments or subletting.

INDEMNIFICATION

The Assignee agrees to indemnify and hold harmless the Assignor from and against any and all claims, demands, liabilities, costs, and expenses (including reasonable attorney's fees) arising from the Assignee's breach of the Original Lease or this Agreement, or from the Assignee's use and occupancy of the Leased Premises from and after the Effective Date.

The Assignor agrees to indemnify and hold harmless the Assignee from and against any and all claims, demands, liabilities, costs, and expenses (including reasonable attorney's fees) arising from the Assignor's breach of the Original Lease prior to the Effective Date.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of {{country_name}}.

ENTIRE AGREEMENT

This Agreement, together with the Original Lease, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.
