MEMORANDUM OF UNDERSTANDING
This Memorandum of Understanding (hereinafter referred to as "MOU") is made and entered into on this {{day}} day of {{month}}, {{year}},
BY AND BETWEEN:

AND
{{party_two_name}} (Registration Number: {{party_two_registration_number}}), a company duly incorporated and existing under the laws of {{party_two_jurisdiction}}, with its principal place of business at {{party_two_address}} (hereinafter referred to as "Party B").
(Hereinafter collectively referred to as "the Parties" and individually as "Party")
1. PURPOSE
The purpose of this MOU is to establish a framework of cooperation and understanding between Party A and Party B concerning {{brief_description_of_purpose_of_mou}}.
2. AREAS OF COOPERATION
The Parties agree to explore and endeavor to cooperate in the following areas:

4. FINANCIAL ARRANGEMENTS

In the event that specific financial arrangements are required for a particular activity, a separate agreement shall be prepared and signed by both Parties.
5. DURATION AND TERMINATION
This MOU shall become effective on the date of its execution by both Parties and shall remain in effect for a period of {{duration_in_months}} months/years, unless terminated earlier by either Party upon giving {{notice_period}} days' written notice to the other Party. Termination of this MOU shall not affect any rights or obligations that have accrued prior to the effective date of termination.
6. CONFIDENTIALITY
The Parties agree to keep confidential all non-public information received from each other in the course of their cooperation under this MOU, and not to disclose such information to any third party without the prior written consent of the disclosing Party, except as required by law.
7. GOVERNING LAW AND DISPUTE RESOLUTION
7.1. This MOU shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.
7.2. Any dispute, controversy or claim arising out of or relating to this MOU, or the breach, termination or invalidity thereof, shall first be resolved through good faith negotiations between the Parties. If the dispute cannot be resolved through negotiation within {{negotiation_period}} days, the Parties agree to refer the dispute to mediation in accordance with the rules of {{mediation_body_or_process}}.
7.3. If mediation fails, the dispute shall be finally settled by arbitration in accordance with the rules of {{arbitration_body_or_process}}.
8. ENTIRE AGREEMENT
This MOU constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the Parties.
9. AMENDMENT
This MOU may only be amended, supplemented, or modified by a written document signed by duly authorized representatives of both Parties.
