MEMORANDUM OF UNDERSTANDING FOR STRATEGIC PARTNERSHIP
This Memorandum of Understanding (hereinafter referred to as "MOU") is made and entered into on this {{date_of_agreement}} day of {{month}}, {{year}},
BETWEEN:

AND
{{Partner_B_company_name}}, a company duly incorporated under the laws of {{country_B}}, with its registered office at {{Partner_B_address}} (hereinafter referred to as "Partner B").
Partner A and Partner B are hereinafter collectively referred to as “the Parties” and individually as “Party.”
1. PURPOSE OF THE MOU
The Parties wish to explore and establish a strategic partnership to {{describe_partnership_purpose}}.
This MOU sets forth the general understanding between the Parties concerning their intention to cooperate and collaborate on a strategic initiative in the mutual interest of both Parties.
2. SCOPE OF COLLABORATION
The areas of cooperation under this MOU may include, but are not limited to, the following:

c. {{area_of_cooperation_3}}
The specific details of any joint projects or activities will be outlined in separate definitive agreements, which will be subject to further negotiation and approval by both Parties.
3. ROLES AND RESPONSIBILITIES
The Parties agree to work together in good faith to define and execute their respective roles and responsibilities during the partnership exploration phase. These may include:

Further detailed roles and responsibilities will be specified in a formal agreement.
4. TERM AND TERMINATION
This MOU shall become effective on the date of signing and shall remain in effect for a period of {{term_duration}} (e.g., six months, one year) unless extended by mutual written agreement, or unless terminated earlier by either Party upon giving {{notice_period}} (e.g., 30 days) written notice to the other Party.
This MOU may also be terminated by mutual written consent of both Parties.
5. CONFIDENTIALITY
All information exchanged between the Parties in connection with this MOU that is identified as confidential, or that by its nature would reasonably be understood to be confidential, shall be kept confidential and shall not be disclosed to any third party without the prior written consent of the disclosing Party.
This obligation of confidentiality shall survive the termination of this MOU for a period of {{confidentiality_period}} (e.g., two years).
6. NON-BINDING NATURE
This MOU is intended to be a statement of mutual understanding and intent of the Parties to explore a strategic partnership. Except for the provisions relating to Confidentiality (Clause 5), Term and Termination (Clause 4), Governing Law (Clause 7), and Dispute Resolution (Clause 8), this MOU is not legally binding and does not create any legal obligations on either Party.
A legally binding agreement will be subject to the negotiation and execution of a definitive written agreement.
7. GOVERNING LAW
This MOU shall be governed by and construed in accordance with the laws of {{governing_country}}.
8. DISPUTE RESOLUTION
Any dispute arising out of or in connection with this MOU, including any question regarding its existence, validity, or termination, shall initially be resolved through good faith negotiations between senior representatives of both Parties.
If the dispute cannot be resolved through negotiation within {{negotiation_period}} days, the Parties agree to explore {{alternative_dispute_resolution_method}} (e.g., mediation, arbitration) in accordance with the rules of {{ADR_institution}}, before resorting to litigation.
9. ENTIRE UNDERSTANDING
This MOU constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral.
