STANDSTILL AGREEMENT
This Standstill Agreement (the “Agreement”) is made and entered into this {{date}} by and between:
{{Party_A_Name}}, a company incorporated under the laws of {{Party_A_Jurisdiction}}, with its principal place of business at {{Party_A_Address}} (hereinafter referred to as “Party A”); and
{{Party_B_Name}}, a company incorporated under the laws of {{Party_B_Jurisdiction}}, with its principal place of business at {{Party_B_Address}} (hereinafter referred to as “Party B”).
Collectively referred to as “the Parties”.
RECITALS
WHEREAS, Party A and Party B are currently engaged in discussions relating to {{Nature_of_Discussions_or_Dispute}} (the “Matter”);
WHEREAS, the Parties wish to temporarily suspend certain actions related to the Matter to facilitate further discussions and potential resolution; and
WHEREAS, the Parties agree to enter into this Agreement to define the terms of such suspension.
AGREEMENT
1. Standstill Period. The Parties agree that, commencing on {{Start_Date}} and continuing until {{End_Date}} (the “Standstill Period”), neither Party shall, directly or indirectly, take any of the following actions with respect to the Matter:
a. Initiate or participate in any litigation, arbitration, or other legal proceedings against the other Party;
b. Solicit or encourage any third party to initiate any litigation, arbitration, or other legal proceedings against the other Party;
c. Make any public statements, announcements, or disclosures regarding the Matter, except as may be required by law or a regulatory body, in which case the disclosing Party shall provide prior notice to the other Party;
d. Take any action that would reasonably be expected to impair the ongoing discussions or the potential for a mutually agreeable resolution.
2. Purpose. The purpose of this Agreement is to create a conducive environment for the Parties to engage in good faith discussions to resolve the Matter without the pressure of ongoing legal or other adversarial actions.
CONFIDENTIALITY
All discussions, proposals, and information exchanged between the Parties during the Standstill Period concerning the Matter shall be treated as confidential and shall not be disclosed to any third party, except as required by law or with the prior written consent of both Parties. This confidentiality obligation shall survive the termination of this Agreement.
NO ADMISSION OF LIABILITY
This Agreement shall not be construed as an admission of liability or wrongdoing by either Party. The rights and claims of each Party, other than those specifically suspended by this Agreement, are hereby expressly reserved.
GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of {{Governing_Law_Jurisdiction}}. The Parties agree to submit to the exclusive jurisdiction of the courts of {{Governing_Law_Jurisdiction}} for any disputes arising out of or in connection with this Agreement.
ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
AMENDMENTS
No amendment or modification of this Agreement shall be valid unless made in writing and signed by duly authorized representatives of both Parties.
COUNTERPARTS
This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
