TRADEMARK ASSIGNMENT SHORT FORM

THIS TRADEMARK ASSIGNMENT (this "Assignment") is made and entered into on this {{day}} day of {{month}}, {{year}} (the "Effective Date"),

BETWEEN:

AND

RECITALS:

WHEREAS, Assignor is the sole and exclusive owner of all rights, title, and interest in and to the trademark(s) listed in Schedule A attached hereto (the "Trademark(s)");

WHEREAS, Assignor desires to assign, transfer, and convey to Assignee all of its rights, title, and interest in and to the Trademark(s); and

WHEREAS, Assignee desires to acquire all rights, title, and interest in and to the Trademark(s) from Assignor.

ASSIGNMENT:

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Assignor hereby irrevocably assigns, transfers, and conveys to Assignee, its successors and assigns, all of Assignor's worldwide right, title, and interest in and to the Trademark(s), together with the goodwill of the business symbolized by the Trademark(s), and the registrations and applications for registration thereof, including without limitation, the right to sue for past infringements.

COOPERATION:

Assignor agrees to execute and deliver any and all further documents and instruments and to do any and all acts and things as may be reasonably necessary to vest in Assignee all right, title, and interest in and to the Trademark(s) as contemplated by this Assignment.

GOVERNING LAW:

This Assignment shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of laws principles.

EFFECTIVE DATE:

This Assignment shall be effective as of the Effective Date.

IN WITNESS WHEREOF:

The parties have executed this Trademark Assignment Short Form as of the Effective Date first written above.
