PARTIES

This Undertaking Sale Representation Services (hereinafter referred to as 'the Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}

BETWEEN:

{{company_name}}, a company duly incorporated under the laws of {{country}}, with its registered office at {{company_address}} (hereinafter referred to as 'the Principal'), and

{{representative_name}}, an individual residing at {{representative_address}}, or a company duly incorporated under the laws of {{country}}, with its registered office at {{representative_address}} (hereinafter referred to as 'the Representative').

RECITALS

WHEREAS, the Principal is engaged in the business of {{principal_business_description}} and wishes to appoint a Representative to promote and sell its products/services;

AND WHEREAS, the Representative has experience in sales and marketing and is willing to provide sales representation services to the Principal;

APPOINTMENT AND SCOPE OF SERVICES

1.1. The Principal hereby appoints the Representative as its non-exclusive/exclusive sales representative for the sale of {{products_services_description}} (hereinafter referred to as 'the Products/Services') within the territory of {{territory}} (hereinafter referred to as 'the Territory').

1.2. The Representative agrees to use its best efforts to promote, market, and sell the Products/Services in the Territory in accordance with the Principal's guidelines and instructions.

1.3. The Representative shall not have the authority to bind the Principal to any contract or obligation without the Principal's prior written consent.

COMMISSION AND PAYMENT

2.1. The Principal shall pay the Representative a commission of {{commission_percentage}}% of the net sales generated by the Representative for the Products/Services.

2.2. 'Net Sales' shall mean the gross sales revenue less any returns, allowances, or discounts.

2.3. Commissions shall be calculated and paid on a {{payment_frequency}} basis, within {{days_to_pay}} days after the end of each {{payment_frequency}}.

2.4. All payments shall be made in {{currency}}.

REPRESENTATIVE'S RESPONSIBILITIES

3.1. The Representative shall:

a) Maintain a high standard of professionalism and ethical conduct.

b) Diligently pursue sales opportunities and provide regular reports on sales activities.

c) Comply with all applicable laws and regulations.

d) Not engage in any activities that may harm the Principal's reputation or business interests.

e) Undertake training on the Principal's products or services as required.

PRINCIPAL'S RESPONSIBILITIES

4.1. The Principal shall:

a) Provide the Representative with necessary product information, marketing materials, and sales support.

b) Process orders promptly and efficiently.

c) Pay commissions in a timely manner as per the terms of this Agreement.

d) Keep the Representative informed of any changes to products, pricing, or sales policies.

TERM AND TERMINATION

5.1. This Agreement shall commence on {{start_date}} and shall continue for a period of {{term_length}} years/months, unless terminated earlier in accordance with the provisions herein.

5.2. Either party may terminate this Agreement by giving {{notice_period}} days' written notice to the other party.

CONFIDENTIALITY

6.1. The Representative agrees to keep confidential all proprietary and confidential information of the Principal, including but not limited to, sales data, customer lists, pricing strategies, and product development plans.

6.2. This obligation of confidentiality shall survive the termination of this Agreement.

GOVERNING LAW AND DISPUTE RESOLUTION

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

7.2. Any dispute arising out of or in connection with this Agreement shall be resolved through amicable negotiation. If a resolution cannot be reached, the dispute shall be submitted to mediation/arbitration in {{city}}, {{country}} in accordance with the rules of {{arbitration_body}}.

ENTIRE AGREEMENT

8.1. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral.
