Warehousing Agreement
This Warehousing Agreement ('Agreement') is made and entered into on this {{date_of_agreement}}
BETWEEN:
{{warehouse_provider_company_name}}, a company duly incorporated under the laws of {{country_of_incorporation}}, with its principal place of business at {{warehouse_provider_address}} (hereinafter referred to as the 'Warehouse Provider');
AND
{{client_company_name}}, a company duly incorporated under the laws of {{country_of_incorporation}}, with its principal place of business at {{client_address}} (hereinafter referred to as the 'Client').
Collectively referred to as 'Parties' and individually as 'Party'.
1. Services Provided
1.1 The Warehouse Provider shall provide warehousing and storage services for the Client's goods ('Goods') at its facility located at {{warehouse_location}}.
1.2 Services shall include, but are not limited to, receiving, unloading, inspecting, storing, packing, and dispatching Goods as per the Client's instructions.
1.3 The specific details of the Goods to be stored, handling requirements, and any special instructions will be outlined in separate 'Storage Orders' placed by the Client and accepted by the Warehouse Provider.
2. Storage Period and Fees
2.1 The initial storage period shall commence on {{start_date}} and continue until {{end_date}}, unless terminated earlier in accordance with this Agreement.
2.2 The Client shall pay the Warehouse Provider storage fees at the rate of {{storage_fee_amount}} per {{unit_of_measurement}} per {{billing_period}}.
2.3 Additional services, such as picking, packing, and special handling, will be charged at the rates specified in Schedule A, attached hereto.
3. Obligations of the Client
3.1 The Client shall provide accurate and timely information regarding the Goods, including their nature, quantity, value, and any special handling or storage requirements.
3.2 The Client shall ensure that all Goods delivered to the Warehouse Provider are properly packaged and labeled for storage and identification.
3.3 The Client shall settle all invoices within {{payment_due_days}} days of the invoice date.
4. Insurance
4.1 The Client is responsible for insuring the Goods against all risks of loss or damage while in the care, custody, and control of the Warehouse Provider. The Warehouse Provider's liability is limited as per Clause 5.
4.2 The Client shall provide proof of adequate insurance coverage to the Warehouse Provider upon request.
5. Limitation of Liability
5.1 The Warehouse Provider's liability for loss or damage to the Goods shall be limited to {{liability_limit_amount}} per {{unit_of_measurement}} or {{liability_limit_percentage}} of the actual declared value of the Goods, whichever is lower.
5.2 The Warehouse Provider shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, arising out of or in connection with the services provided hereunder.
6. Termination
6.1 Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party.
6.2 This Agreement may be terminated immediately by either Party in the event of a material breach by the other Party that is not remedied within {{remedy_period}} days of written notice.
7. Governing Law and Dispute Resolution
7.1 This Agreement shall be governed by and construed in accordance with the laws of {{applicable_country}}.
7.2 Any dispute arising out of or in connection with this Agreement shall be resolved through good faith negotiations. If negotiations fail, the Parties agree to first attempt mediation in {{mediation_city}}, {{mediation_country}}.
7.3 If mediation is unsuccessful, the dispute shall be submitted to arbitration in accordance with the rules of {{arbitration_body}} in {{arbitration_city}}, {{arbitration_country}}.
