Web Site Development and Service Agreement
Preamble
This Web Site Development and Service Agreement (hereinafter referred to as "Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
{{client_company_name}}, a company duly incorporated and existing under the laws of {{client_jurisdiction}}, with its principal place of business at {{client_company_address}} (hereinafter referred to as "Client"), and
{{service_provider_company_name}}, a company duly incorporated and existing under the laws of {{service_provider_jurisdiction}}, with its principal place of business at {{service_provider_company_address}} (hereinafter referred to as "Service Provider").
1. Scope of Work
1.1. The Service Provider agrees to develop, design, and implement a website for the Client (hereinafter referred to as "the Website") in accordance with the specifications detailed in Schedule A (Website Specifications) attached hereto and forming an integral part of this Agreement.
1.2. The scope of work includes, but is not limited to, {{list_of_services_e.g._design,_development,_content_integration,_testing,_deployment}}.
1.3. Any additional services requested by the Client outside the scope of Schedule A will be subject to a separate written agreement and additional charges.
2. Deliverables
2.1. The Service Provider shall deliver the following to the Client:
a. A fully functional and tested Website.
b. All source code, graphic files, and other relevant assets pertaining to the Website.
c. Documentation for website administration and maintenance.
d. Relevant login credentials for hosting and administrative panels.
2.2. All deliverables shall be provided by the agreed-upon deadlines as stipulated in Schedule B (Project Timeline) attached hereto.
3. Project Timeline
3.1. The Service Provider shall complete the development of the Website within {{number_of_weeks/months}} from the Effective Date of this Agreement, as per the milestones outlined in Schedule B (Project Timeline).
3.2. Both parties agree to cooperate diligently to ensure timely completion of the project. Delays caused by the Client (e.g., late provision of content, delayed approvals) may result in an extension of the project timeline and may incur additional costs.
4. Payment Terms
4.1. The total fee for the Web Site Development Services shall be {{currency}} {{total_agreement_amount}} ({{total_agreement_amount_in_words}}).
4.2. Payment shall be made by the Client to the Service Provider in installments as follows:
a. {{percentage_1}}% ({{currency}} {{amount_1}}) upon signing of this Agreement.
b. {{percentage_2}}% ({{currency}} {{amount_2}}) upon completion of the design phase.
c. {{percentage_3}}% ({{currency}} {{amount_3}}) upon completion of development and testing.
d. {{percentage_4}}% ({{currency}} {{amount_4}}) upon final acceptance and launch of the Website.
4.3. All invoices are due and payable within {{number}} days of receipt. Late payments may be subject to an interest charge of {{interest_rate}}% per month.
5. Intellectual Property Rights
5.1. Upon full and final payment of all fees due under this Agreement, the Service Provider hereby assigns to the Client all intellectual property rights, including but not limited to copyrights, in and to the Website and all its components developed specifically for the Client under this Agreement.
5.2. The Service Provider retains the right to use any pre-existing intellectual property, tools, or techniques developed prior to this Agreement for other clients, provided such use does not infringe on the Client's specific Website intellectual property.
6. Maintenance and Support
6.1. Following the successful launch of the Website, the Service Provider shall provide a warranty period of {{number_of_days/weeks}} during which any errors or bugs identified in the Website will be corrected free of charge.
6.2. Post-warranty, the Client may opt for a separate Website Maintenance Agreement with the Service Provider or a third party. Details regarding ongoing maintenance and support packages, including costs, will be provided separately.
7. Confidentiality
7.1. Both parties agree to keep confidential all non-public information, including business secrets, technical data, and client information, disclosed during the course of this Agreement. This obligation shall survive the termination of this Agreement.
7.2. Neither party shall disclose such confidential information to any third party without the prior written consent of the other party.
8. Termination
8.1. Either party may terminate this Agreement by providing {{number_of_days}} days written notice to the other party in the event of a material breach of this Agreement.
8.2. In the event of termination, the Client shall pay the Service Provider for all services rendered up to the date of termination, calculated on a pro-rata basis, and for any non-recoverable expenses incurred.
9. Governing Law and Dispute Resolution
9.1. This Agreement shall be governed by and construed in accordance with the laws of {{jurisdiction_e.g._South_Africa}}.
9.2. Any dispute, controversy or claim arising out of or in connection with this Agreement, including its existence, validity or termination, shall be resolved through good faith negotiations between the parties. Should such negotiations fail, the dispute shall be referred to mediation. If mediation is unsuccessful, the dispute shall be submitted to arbitration in accordance with the rules of {{arbitration_body_e.g._AFSA}}.
10. Entire Agreement
10.1. This Agreement, including its Schedules A and B, constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, discussions, and negotiations, whether oral or written.
11. Acceptance and Signatures
IN WITNESS WHEREOF, the parties have executed this Agreement on the date first written above.
