White Label Agreement

1. Parties

This White Label Agreement (hereinafter referred to as "Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

Provider: [{{provider_company_name}}], a company duly incorporated and existing under the laws of {{provider_jurisdiction}}, with its principal place of business at {{provider_address}} (hereinafter referred to as "Provider").

Reseller: [{{reseller_company_name}}], a company duly incorporated and existing under the laws of {{reseller_jurisdiction}}, with its principal place of business at {{reseller_address}} (hereinafter referred to as "Reseller").

Provider and Reseller are hereinafter collectively referred to as "Parties" and individually as "Party".

2. Definitions

"White Label Products/Services" refers to the products or services supplied by the Provider to the Reseller as detailed in Schedule A.

"Branding Materials" refers to all trademarks, service marks, logos, brand names, and other identifying marks of the Reseller.

"Intellectual Property Rights" means all patents, copyrights, moral rights, trademarks, service marks, trade secrets, and other intellectual property rights, whether registered or unregistered, and all applications and rights to apply for registration of any of the foregoing.

3. Grant of License

The Provider hereby grants to the Reseller a non-exclusive, non-transferable, revocable license to market, promote, distribute, and sell the White Label Products/Services under the Reseller's Branding Materials, within the territory of {{territory}} (hereinafter referred to as "Territory").

The Reseller acknowledges that all Intellectual Property Rights in the White Label Products/Services, excluding the Reseller's Branding Materials, shall remain the sole and exclusive property of the Provider.

4. Reseller's Responsibilities

The Reseller shall be solely responsible for all aspects of marketing, selling, and distributing the White Label Products/Services to its customers, including but not limited to, pricing, customer support, and warranty claims.

The Reseller shall ensure that all marketing and promotional materials related to the White Label Products/Services accurately represent the nature and functionality thereof and do not make any false or misleading claims.

The Reseller shall promptly notify the Provider of any complaints or issues raised by customers regarding the White Label Products/Services.

5. Provider's Responsibilities

The Provider shall supply the White Label Products/Services to the Reseller in accordance with the specifications and quality standards set out in Schedule A.

The Provider shall provide technical support and maintenance for the White Label Products/Services to the Reseller as mutually agreed upon in Schedule B.

The Provider shall indemnify and hold harmless the Reseller from and against any claims, damages, liabilities, and expenses arising out of any infringement of Intellectual Property Rights by the White Label Products/Services.

6. Payment Terms

The Reseller shall pay the Provider for the White Label Products/Services as per the pricing structure and payment schedule outlined in Schedule C.

All payments shall be made in {{currency}} within {{payment_days}} days of the invoice date.

7. Confidentiality

Each Party agrees to keep confidential all non-public information disclosed by the other Party during the term of this Agreement, including but not limited to, business plans, customer lists, pricing information, and technical data.

This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.

8. Term and Termination

This Agreement shall commence on the Effective Date and shall continue for an initial term of {{initial_term_months}} months, unless terminated earlier in accordance with the provisions of this Agreement.

Either Party may terminate this Agreement by providing {{notice_days}} days' written notice to the other Party in the event of a material breach of this Agreement by the other Party, which breach is not cured within {{cure_days}} days of receipt of such notice.

Upon termination of this Agreement, the Reseller shall cease all use of the White Label Products/Services and shall return or destroy all confidential information of the Provider.

9. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

Any dispute arising out of or in connection with this Agreement shall be submitted to mediation in {{mediation_city}}, {{mediation_country}}. If the dispute is not resolved through mediation, it shall be referred to arbitration in accordance with the rules of the {{arbitration_institution}}.

10. Entire Agreement

This Agreement, including its Schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral.

Any amendment to this Agreement must be in writing and signed by both Parties.

11. Signatures

IN WITNESS WHEREOF, the Parties have executed this Agreement as of the date first written above.
