ADMINISTRATIVE SERVICES AGREEMENT

This Administrative Services Agreement ('Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}} (the 'Effective Date'), by and between:

{{client_company_name}}, a company duly incorporated and registered under the laws of {{client_country}}, with its principal place of business at {{client_address}} (hereinafter referred to as 'the Client');

AND

{{service_provider_company_name}}, a company duly incorporated and registered under the laws of {{service_provider_country}}, with its principal place of business at {{service_provider_address}} (hereinafter referred to as 'the Service Provider').

The Client and the Service Provider are hereinafter collectively referred to as 'the Parties' and individually as 'a Party'.

RECITALS

WHEREAS, the Client desires to obtain administrative services, and the Service Provider is willing to provide such services to the Client in accordance with the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

1. SCOPE OF SERVICES

1.1 The Service Provider shall perform the administrative services as detailed in Schedule A attached hereto and incorporated by reference (the 'Services').

1.2 The Services may include, but are not limited to, data entry, record keeping, scheduling, general office support, and other administrative tasks as mutually agreed upon by the Parties.

1.3 Any changes or additions to the Scope of Services must be mutually agreed upon in writing by both Parties.

2. TERM AND TERMINATION

2.1 This Agreement shall commence on the Effective Date and shall continue for a period of {{term_length}} unless terminated earlier in accordance with the provisions of this Agreement.

2.2 Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party.

2.3 This Agreement may be terminated immediately by either Party upon a material breach of any term or condition of this Agreement by the other Party, provided that the breaching Party fails to remedy such breach within {{cure_period}} days of receipt of written notice thereof.

3. FEES AND PAYMENT

3.1 The Client shall pay the Service Provider a fee of {{currency}} {{amount}} per {{payment_frequency}} for the Services rendered, as further detailed in Schedule B attached hereto.

3.2 Invoices shall be submitted by the Service Provider on a {{billing_cycle}} basis and shall be payable by the Client within {{payment_terms}} days of receipt.

3.3 All payments shall be made by {{payment_method}} to the account specified by the Service Provider.

4. CONFIDENTIALITY

4.1 Both Parties agree to keep confidential all non-public information obtained during the performance of this Agreement, including but not limited to business plans, client information, and financial data.

4.2 This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period}}.

5. INDEMNIFICATION

5.1 Each Party agrees to indemnify and hold harmless the other Party from and against any and all claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of this Agreement or gross negligence or willful misconduct by the indemnifying Party.

6. GOVERNING LAW AND DISPUTE RESOLUTION

6.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

6.2 Any dispute arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the Parties. If the dispute cannot be resolved through negotiation, the Parties agree to submit the dispute to mediation in accordance with the rules of {{mediation_body}}.

6.3 If mediation is unsuccessful, the dispute shall be submitted to arbitration in accordance with the rules of {{arbitration_body}}.

7. ENTIRE AGREEMENT

This Agreement, including its Schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
