AGREEMENT BETWEEN OWNER AND CONTRACTOR

This Agreement is made and entered into on this {{day}} day of {{month}}, {{year}},

BETWEEN:

{{owner_name}} (hereinafter referred to as “the Owner”), residing at {{owner_address}}, and

1. SCOPE OF SERVICES

1.1 The Contractor agrees to provide the following services (hereinafter referred to as “the Services”): {{description_of_services}}.

1.2 The Services shall be performed in a professional manner, in accordance with industry standards, and to the satisfaction of the Owner. The Contractor shall provide all necessary labour, materials, equipment, and supervision required to complete the Services.

2. PROJECT DURATION AND COMPLETION

2.1 The Services shall commence on {{start_date}} and are expected to be completed by {{completion_date}}.

2.2 Any delays in completion due to unforeseen circumstances or changes in scope must be communicated to and agreed upon by the Owner in writing.

3. PAYMENT TERMS

3.2 Payment shall be made as follows:

a) An upfront deposit of {{currency}} {{deposit_amount}} on signing of this Agreement.

4. WARRANTIES AND INDEMNITIES

4.1 The Contractor warrants that all Services will be performed with due care and skill, and that all materials used will be of good quality and fit for their intended purpose.

4.2 The Contractor shall indemnify and hold harmless the Owner against any and all claims, losses, damages, liabilities, and expenses (including legal fees) arising from the Contractor’s performance of the Services, except to the extent caused by the Owner’s negligence.

5. TERMINATION

5.1 Either party may terminate this Agreement by giving {{notice_days}} days’ written notice if the other party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period_days}} days of receiving written notice thereof.

5.2 In the event of termination, the Owner shall pay the Contractor for all Services satisfactorily performed up to the date of termination.

6. GOVERNING LAW AND DISPUTE RESOLUTION

6.2 Any dispute arising out of or in connection with this Agreement shall first be resolved through good faith negotiations. If negotiations fail, the parties agree to submit the dispute to mediation in accordance with the rules of {{mediation_body}}.

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof.
