Artist-Agent Agreement
This Artist-Agent Agreement (hereinafter referred to as the "Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
Artist: {{artist_name}}, with identity/passport number {{artist_id_number}}, residing at {{artist_address}} (hereinafter referred to as "Artist").
And
Agent: {{agent_company_name}}, a company duly incorporated under the laws of {{country_of_incorporation}}, with its registered office at {{agent_address}}, represented by {{agent_representative_name}} (hereinafter referred to as "Agent").
Collectively referred to as the "Parties".
1. Appointment of Agent
1.1. The Artist hereby appoints the Agent as their exclusive/non-exclusive representative (delete as applicable) for a period of {{agreement_term_years}} years, commencing on {{start_date}} and ending on {{end_date}}, or until terminated earlier in accordance with the provisions of this Agreement.
1.2. The Agent accepts this exclusive/non-exclusive appointment and agrees to use its best endeavors to promote the Artist's career and secure engagements, contracts, and opportunities within the entertainment industry, including but not limited to music, film, television, theatre, endorsements, and appearances.
2. Agent's Responsibilities
The Agent's responsibilities shall include, but not be limited to:
2.1. Soliciting and negotiating engagements, contracts, and other opportunities for the Artist.
2.2. Advising the Artist on career development, public relations, and marketing strategies.
2.3. Handling administrative tasks related to the Artist's engagements, such as scheduling, travel arrangements, and contract management.
2.4. Collecting all monies due to the Artist from engagements secured by the Agent.
2.5. Providing regular reports to the Artist on all activities undertaken on their behalf.
3. Artist's Responsibilities
The Artist's responsibilities shall include, but not be limited to:
3.1. Cooperating fully with the Agent and promptly providing all necessary information and materials required for the Agent to carry out its responsibilities.
3.2. Notifying the Agent of any direct inquiries or offers for engagements received by the Artist.
3.3. Performing all engagements professionally and to the best of their ability.
3.4. Adhering to all terms and conditions of contracts entered into on their behalf by the Agent.
3.5. Maintaining a professional image and reputation.
4. Commission and Payment
4.1. In consideration for the services rendered, the Artist agrees to pay the Agent a commission of {{commission_percentage}}% (percentage in words: {{commission_percentage_words}} percent) of all gross monies or other consideration earned by the Artist from engagements secured, negotiated, or influenced by the Agent during the term of this Agreement and for a period of {{post_term_commission_months}} months thereafter (the "Post-Term Commission Period") for engagements entered into during the term of this Agreement but performed after its expiration or termination.
4.2. The Agent shall deduct its commission from gross monies received on behalf of the Artist before remitting the balance to the Artist within {{payment_days}} days of receipt.
4.3. The Agent shall provide the Artist with detailed statements of accounts for all monies received and disbursed.
5. Termination
5.1. This Agreement may be terminated by either Party by giving {{notice_period_days}} days' written notice to the other Party in the event of a material breach of any terms or conditions of this Agreement that is not remedied within {{cure_period_days}} days of receipt of written notice of such breach.
5.2. Either Party may terminate this Agreement immediately in the event of insolvency or bankruptcy of the other Party.
5.3. Upon termination, the Artist shall remain liable for all commissions due to the Agent for engagements secured prior to the effective date of termination, as per Clause 4.1.
6. Governing Law and Dispute Resolution
6.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.
6.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, including its existence, validity, interpretation, performance, breach, or termination, shall be referred to and finally resolved by arbitration in {{arbitration_city}}, in accordance with the rules of the {{arbitration_institution}}.
7. Confidentiality
7.1. Both Parties agree to keep confidential all proprietary and confidential information exchanged during the course of this Agreement, including but not limited to financial details, marketing strategies, and personal information of the Artist.
7.2. This obligation of confidentiality shall survive the termination of this Agreement.
8. Entire Agreement
This Agreement constitutes the entire understanding and agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
