Assignment of Rights

In consideration of your forthcoming employment with {{company_name}}, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, you irrevocably assign and transfer to {{company_name}} all right, title, and interest in and to the Pre-Employment Works, including all intellectual property rights, copyrights, patents, trade secrets, trademarks, and any other proprietary rights throughout the world. This assignment is effective as of the date of this agreement.

Further Assurances

You agree to execute any and all further documents, including applications for copyright or patent registration, and to take any other actions as may be reasonably necessary to perfect {{company_name}}'s rights in the Pre-Employment Works, both during and after the term of your employment with {{company_name}}.

Representations and Warranties

You represent and warrant that the Pre-Employment Works are original to you, that you have the full right and authority to assign them to {{company_name}}, and that the Pre-Employment Works do not infringe upon the intellectual property rights or any other rights of any third party. You further represent and warrant that you have not previously assigned, licensed, or otherwise encumbered any rights in the Pre-Employment Works to any other person or entity.

Governing Law
