Dear {{client_contact_person}},

This letter confirms the agreement between {{company_name}} (hereinafter referred to as "Consultant") and {{client_company_name}} (hereinafter referred to as "Client") for the provision of consulting services.

1. Scope of Services

The Consultant agrees to provide the following services to the Client (hereinafter referred to as "Services") pertaining to {{project_name}}:

Any additional services requested by the Client outside of this defined scope will be subject to a separate agreement and additional fees.

2. Deliverables

4. Fees and Payment

5. Confidentiality

Both parties agree to treat all information disclosed during the course of this engagement as confidential and will not disclose such information to any third party without prior written consent, except where required by law.

6. Intellectual Property

Any intellectual property created by the Consultant during the course of this engagement, specifically for the Client, will become the property of the Client upon full payment of all fees due. The Consultant retains the right to use general knowledge and expertise gained during the engagement.

7. Limitation of Liability

The Consultant's liability to the Client for any claim arising out of or in connection with this agreement shall not exceed the total fees paid by the Client to the Consultant for the Services. The Consultant shall not be liable for any indirect, incidental, special, or consequential damages.

8. Governing Law

This agreement shall be governed by and construed in accordance with the laws of {{country}}.

9. Entire Agreement

This letter constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements, whether written or oral, relating to the subject matter hereof. Any amendments to this agreement must be made in writing and signed by both parties.
