CONTENT PROVIDER AGREEMENT

This Content Provider Agreement ('Agreement') is made effective as of {{effective_date}}

BETWEEN:

{{company_name}}, a company registered under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as 'The Company')

AND

{{provider_name}}, an individual/company with ID/Registration Number {{provider_id_number}}, residing at/with its registered office at {{provider_address}} (hereinafter referred to as 'The Provider').

Collectively referred to as 'The Parties'.

1. ENGAGEMENT

The Company hereby engages The Provider to create and deliver content ('Content') as described in {{schedule_A_description}} (hereinafter referred to as 'The Services'). The Provider accepts this engagement on the terms and conditions set forth in this Agreement.

2. TERM AND TERMINATION

2.1. This Agreement shall commence on {{start_date}} and shall continue until {{end_date}} unless terminated earlier in accordance with the provisions of this Agreement.

2.2. Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party.

2.3. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period}} days of receiving written notice thereof.

3. SCOPE OF SERVICES

The Provider agrees to provide the following services:

4. COMPENSATION AND PAYMENT

4.1. In consideration for the Services, The Company shall pay The Provider a fee of {{fee_amount}} ({{currency}}) as per the payment schedule outlined in {{payment_schedule_details}}.

4.2. Payments will be made within {{payment_terms_days}} days of receipt of a valid invoice from The Provider.

4.3. The Provider shall be solely responsible for all taxes, levies, and contributions arising from this Agreement.

5. INTELLECTUAL PROPERTY

5.1. The Provider agrees that all intellectual property rights, including but not limited to copyrights, patents, trademarks, and trade secrets, in the Content created under this Agreement shall belong exclusively to The Company upon payment in full for the Services.

5.2. The Provider hereby assigns to The Company all rights, title, and interest in and to the Content.

5.3. The Provider warrants that the Content will be original and will not infringe upon the intellectual property rights of any third party.

6. CONFIDENTIALITY

6.1. The Provider agrees to keep confidential all non-public information disclosed by The Company in connection with this Agreement, including but not limited to business plans, strategies, customer lists, and financial information.

6.2. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.

7. INDEMNIFICATION

The Provider agrees to indemnify and hold harmless The Company from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or in connection with The Provider's breach of this Agreement, negligence, or willful misconduct.

8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

8.2. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{city}}, {{country}}, in accordance with the rules of {{arbitration_body}}.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between The Parties and supersedes all prior agreements, understandings, and negotiations, whether written or oral, relating to the subject matter hereof.
