EMPLOYEE NON-DISCLOSURE AGREEMENT
This Employee Non-Disclosure Agreement (hereinafter referred to as the 'Agreement') is made and entered into as of {{date}} (the 'Effective Date'), by and between:
{{company_name}}, a company duly incorporated and existing under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as 'the Company'); and
{{employee_name}}, an individual residing at {{employee_address}}, with identification number {{employee_id_number}} (hereinafter referred to as 'the Employee').
Each a 'Party' and collectively the 'Parties'.
RECITALS
WHEREAS, the Company is engaged in the business of {{company_business_description}} and possesses certain confidential and proprietary information, trade secrets, and intellectual property that are vital to its operations and competitive advantage.
WHEREAS, the Employee is being employed by the Company in the position of {{employee_position}} and, in the course of such employment, will be exposed to, have access to, and contribute to such confidential and proprietary information.
WHEREAS, the Parties wish to define the terms and conditions under which such confidential information will be treated.
DEFINITION OF CONFIDENTIAL INFORMATION
For the purpose of this Agreement, 'Confidential Information' shall include, but not be limited to, any non-public information, data, or materials, whether written, oral, electronic, or visual, disclosed by the Company to the Employee, or to which the Employee gains access, directly or indirectly, during the course of their employment. This includes, without limitation:
(a) Business plans, strategies, marketing plans, client lists, sales data, financial information, pricing structures, and supplier information.
(b) Technical data, product specifications, designs, formulas, software code, algorithms, research and development data, manufacturing processes, and inventions.
(c) Employee information, personnel records, and compensation details.
(d) Any information designated by the Company as confidential or proprietary.
OBLIGATIONS OF THE EMPLOYEE
The Employee hereby agrees to:
(a) Maintain all Confidential Information in strict confidence and shall not disclose, publish, or disseminate it to any third party without the prior written consent of the Company.
(b) Use the Confidential Information solely for the benefit of the Company and in furtherance of their employment duties, and not for personal gain or for any purpose detrimental to the Company.
(c) Exercise at least the same degree of care in safeguarding the Confidential Information as the Employee uses to protect their own confidential information, but in no event less than a reasonable degree of care.
(d) Notify the Company immediately upon discovery of any unauthorised use or disclosure of Confidential Information.
EXCLUSIONS FROM CONFIDENTIAL INFORMATION
The obligations of confidentiality under this Agreement shall not apply to information that:
(a) Is or becomes publicly available without breach of this Agreement by the Employee.
(b) Was known to the Employee prior to its disclosure by the Company, as evidenced by written records.
(c) Is independently developed by the Employee without reliance on or use of the Confidential Information.
(d) Is rightfully received by the Employee from a third party without restriction on disclosure and without breach of this Agreement.
(e) Is required to be disclosed by law or by order of a court or governmental agency, provided that the Employee gives prompt notice to the Company of such requirement and cooperates with the Company in any effort to oppose or limit the disclosure.
RETURN OF CONFIDENTIAL INFORMATION
Upon termination of employment with the Company for any reason, or at any time upon the Company's request, the Employee shall immediately return to the Company all Confidential Information, including all copies thereof, in any form or medium, that are in the Employee's possession, custody, or control. The Employee shall not retain any copies, summaries, extracts, or derivations of the Confidential Information.
NON-COMPETITION AND NON-SOLICITATION
During the period of employment and for a period of {{non_compete_period}} months following the termination of employment, the Employee shall not, directly or indirectly, engage in any business or activity that competes with the Company within the geographical area of {{non_compete_geographic_area}}. Furthermore, the Employee shall not solicit or endeavour to entice away from the Company any of its employees, clients, or customers.
REMEDIES
The Employee acknowledges that a breach of this Agreement may cause irreparable harm to the Company for which monetary damages alone would not be an adequate remedy. In the event of a breach or threatened breach of this Agreement, the Company shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity.
GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of {{country}}. The Parties agree to submit to the exclusive jurisdiction of the courts of {{country}} for the resolution of any disputes arising out of or in connection with this Agreement.
ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the Parties. No modification or amendment of this Agreement shall be effective unless in writing and signed by both Parties.
