Freelance Contract Agreement

This Independent Contractor Agreement (the “Agreement”) is made and entered into as of this {{date}} by and between:

{{company_name}}, a company duly registered under the laws of [Country, e.g., South Africa], with its principal place of business at {{company_address}} (hereinafter referred to as the “Client”), and

{{freelancer_name}}, an individual residing at {{freelancer_address}}, (hereinafter referred to as the “Freelancer”).

WHEREAS, the Client is in need of certain services related to {{service_description}};

WHEREAS, the Freelancer has the necessary qualifications, experience, and expertise to provide such services; and

WHEREAS, the Client desires to engage the Freelancer to perform such services, and the Freelancer desires to perform such services, upon the terms and conditions hereinafter set forth.

1. Scope of Services

The Freelancer agrees to provide the following services to the Client (the “Services”): {{detailed_scope_of_work}}.

The specific deliverables and timelines for these Services are further detailed in Schedule A, attached hereto and incorporated by reference.

2. Term and Termination

This Agreement shall commence on {{start_date}} and shall continue until {{end_date}} unless terminated earlier in accordance with the provisions herein.

Either party may terminate this Agreement upon {{notice_period}} days’ written notice to the other party.

Further, the Client may terminate this Agreement immediately upon written notice if the Freelancer breaches any material term of this Agreement and fails to remedy such breach within {{cure_period}} days of receiving written notice thereof.

3. Payment and Fees

In consideration for the Services rendered, the Client shall pay the Freelancer a total fee of {{total_fee}} ({{currency}}) payable as follows: {{payment_terms}}.

Payment will be made within {{payment_due_days}} days of receipt of a valid invoice from the Freelancer.

All invoices must include {{invoice_details}}.

4. Independent Contractor Relationship

The Freelancer shall perform the Services as an independent contractor and not as an employee, agent, joint venture, or partner of the Client.

The Freelancer shall be solely responsible for all income tax, national insurance contributions, and any other taxes or social security contributions arising from the performance of the Services under this Agreement.

The Freelancer shall not be entitled to any employee benefits from the Client.

5. Intellectual Property

All intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in any work product, materials, or deliverables created by the Freelancer in the performance of the Services under this Agreement shall be the sole and exclusive property of the Client upon full payment of all fees due to the Freelancer.

The Freelancer hereby assigns to the Client all right, title, and interest in and to such intellectual property.

6. Confidentiality

The Freelancer agrees to keep confidential all confidential information of the Client, including but not limited to business plans, customer lists, financial information, and trade secrets. This obligation shall survive the termination of this Agreement.

The Freelancer shall not disclose or use any confidential information for any purpose other than for the performance of the Services under this Agreement.

7. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of [Country, e.g., South Africa].

Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in [City, e.g., Johannesburg] in accordance with the rules of the [Arbitration Body, e.g., Arbitration Foundation of Southern Africa (AFSA)].

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether written or oral, between the parties.
