Contract Title and Parties

Recitals/Background

Definitions

For the purpose of this Agreement, the following terms shall have the meanings ascribed to them hereunder:

"**Confidential Information**" shall mean any non-public information disclosed by one Party to the other, whether orally, visually, by document or otherwise, which is designated as confidential or which, by its nature, would reasonably be understood to be confidential.

Terms and Conditions

Miscellaneous Provisions

**2. Amendments:** No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties.

**3. Assignment:** Neither Party may assign any of its rights or obligations under this Agreement without the prior written consent of the other Party.

**4. Force Majeure:** Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement where such failure or delay is caused by an event beyond its reasonable control.

**5. Notices:** All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by registered mail, or by reputable overnight courier to the addresses set forth above.
