DISTRIBUTION AGREEMENT

This Distribution Agreement ("Agreement") is made and entered into on this {{date_of_agreement}}

BY AND BETWEEN:

{{company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as "Supplier");

AND

{{distributor_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{distributor_company_address}} (hereinafter referred to as "Distributor").

WHEREAS, Supplier is engaged in the business of manufacturing/supplying {{description_of_products_or_services}} (hereinafter referred to as "Products"); and

WHEREAS, Distributor is engaged in the business of distributing {{description_of_distribution_services}} and has the necessary resources, expertise, and infrastructure to promote, market, and distribute the Products within the Designated Territory; and

WHEREAS, Supplier desires to appoint Distributor, and Distributor desires to accept such appointment, for the distribution of the Products in the Designated Territory in accordance with the terms and conditions set forth herein.

1. APPOINTMENT AND SCOPE OF APPOINTMENT

1.1 Grant of Rights: Supplier hereby grants to the Distributor, and the Distributor hereby accepts, the exclusive/non-exclusive right to distribute and market the Products within the territory defined as {{designated_territory}} (the "Designated Territory") during the Term of this Agreement.

1.2 Product List: The Products covered by this Agreement are detailed in Schedule A attached hereto and incorporated by reference.

1.3 No Other Rights: Distributor shall not have the right to manufacture, modify, or sublicense the Products without the express prior written consent of the Supplier.

2. DUTIES AND OBLIGATIONS OF DISTRIBUTOR

2.1 Marketing and Sales: Distributor shall use its best efforts to promote, market, and sell the Products in the Designated Territory and shall meet all sales quotas as mutually agreed upon and set forth in Schedule B.

2.2 Compliance with Laws: Distributor shall comply with all applicable local, national, and international laws, regulations, and ordinances relating to the distribution, advertising, and sale of the Products.

2.3 Customer Service: Distributor shall provide adequate customer support and after-sales service for the Products within the Designated Territory.

2.4 Reporting: Distributor shall provide Supplier with regular sales reports, market feedback, and inventory levels as specified in Schedule C.

3. DUTIES AND OBLIGATIONS OF SUPPLIER

3.1 Product Supply: Supplier shall supply the Products to the Distributor at the agreed-upon prices and terms as set forth in Schedule D.

3.2 Marketing Support: Supplier shall provide Distributor with reasonable marketing and promotional materials, technical support, and training on the Products.

3.3 Intellectual Property: Supplier warrants that it has all necessary rights to the Products and that the Products do not infringe on any third-party intellectual property rights.

4. PRICING AND PAYMENT TERMS

4.1 Product Pricing: The prices for the Products to be sold by Supplier to Distributor shall be as set forth in Schedule D.

4.2 Payment Terms: Payment for Products supplied shall be made by Distributor to Supplier within {{number}} days from the date of the invoice.

4.3 Currency: All payments shall be made in {{currency}}.

5. TERM AND TERMINATION

5.1 Term: This Agreement shall commence on {{start_date}} and shall continue for a period of {{number_of_years}} years unless terminated earlier in accordance with the provisions herein.
