Independent Contractor Agreement For Programming Services

This Independent Contractor Agreement (the “Agreement”) is made effective as of {{effective_date}}, by and between {{company_name}} (the “Company”), located at {{company_address}}, and {{contractor_name}} (the “Contractor”), located at {{contractor_address}}.

1. Services

The Company hereby engages the Contractor to provide the following programming services (the “Services”):

2. Term

All intellectual property developed by the Contractor in the course of performing the Services, including but not limited to, code, designs, and documentation, shall be the sole property of the Company. The Contractor hereby assigns all rights, title, and interest in such intellectual property to the Company.

6. Confidentiality

The Contractor agrees to keep confidential all non-public information concerning the Company’s business, products, and services, including but not limited to, trade secrets, customer lists, and financial information. This obligation of confidentiality shall survive the termination of this Agreement.

7. Termination

Either party may terminate this Agreement upon providing {{notice_period}} days' written notice to the other party.

The Company may terminate this Agreement immediately if the Contractor breaches any material term of this Agreement.

8. Governing Law
