JANITORIAL SERVICE AGREEMENT
This Janitorial Service Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

**{{service_provider_company_name}}** (hereinafter referred to as "Service Provider"), with its principal place of business at {{service_provider_company_address}}.
Collectively, the Client and the Service Provider shall be referred to as “Parties” and individually as “Party”.
1. SCOPE OF SERVICES
The Service Provider agrees to perform janitorial and cleaning services (hereinafter referred to as the “Services”) at the Client’s premises located at {{service_address}}. The specific services to be provided include, but are not limited to, the following:

A detailed schedule and list of all services are attached hereto as Schedule A and form an integral part of this Agreement.
2. TERM OF AGREEMENT
This Agreement shall commence on {{start_date}} and shall continue for a period of {{agreement_term_length}} (e.g., one year, six months), unless terminated earlier in accordance with the provisions of this Agreement. This Agreement may be renewed upon mutual written agreement of both Parties.
3. PAYMENT TERMS

Any additional services requested by the Client outside the scope of Schedule A will be quoted separately and agreed upon in writing before commencement.

4. RESPONSIBILITIES OF THE PARTIES
**4.1. Service Provider's Responsibilities:**
- Provide qualified and adequately trained personnel to perform the Services.
- Ensure all personnel adhere to the Client’s security and safety protocols while on the premises.
- Supply all necessary cleaning equipment and materials, unless otherwise agreed upon in writing.
- Maintain appropriate insurance coverage for its employees and operations.
**4.2. Client's Responsibilities:**
- Provide access to the premises at agreed-upon times.
- Provide necessary utilities (e.g., water, electricity) required for the performance of the Services.
- Inform the Service Provider of any special instructions or sensitive areas on the premises.
5. INDEMNIFICATION
Each Party agrees to indemnify and hold harmless the other Party, its officers, employees, and agents from and against any and all claims, liabilities, losses, damages, and expenses (including reasonable legal fees) arising out of or in connection with any breach of this Agreement or any negligent or willful act or omission of the indemnifying Party or its personnel.
6. CONFIDENTIALITY
Both Parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the term of this Agreement. This obligation shall survive the termination of this Agreement for a period of {{confidentiality_term}}.
7. TERMINATION
Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party in the event of a material breach of this Agreement, provided that the breaching Party has failed to remedy such breach within {{cure_period}} days of receiving written notice thereof.
This Agreement may also be terminated by mutual written agreement of both Parties.
8. GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall be resolved through amicable negotiation between the Parties. If the dispute cannot be resolved through negotiation within {{negotiation_period}} days, the Parties agree to submit to the jurisdiction of the courts of {{country}}.
9. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof. No amendment or modification of this Agreement shall be valid unless made in writing and signed by both Parties.
