MANAGEMENT AGREEMENT

This Management Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}} (the "Effective Date")

PARTIES

BETWEEN:

{{company_name}}, a company duly incorporated under the laws of {{country_of_incorporation}}, with its principal place of business at {{company_address}} (hereinafter referred to as "the Company").

AND

{{manager_name}}, an individual residing at {{manager_address}}, holding identification number {{manager_id_number}} (hereinafter referred to as "the Manager").

The Company and the Manager are hereinafter collectively referred to as "the Parties" and individually as "Party."

1. APPOINTMENT AND SCOPE OF EMPLOYMENT

1.1. The Company hereby appoints the Manager, and the Manager hereby accepts such appointment, as {{position_title}} for the Company, commencing on the Effective Date.

1.2. The Manager shall report directly to {{reporting_manager_name/title}} and shall perform such duties and responsibilities as are customary for the position of {{position_title}} within the Company, as further detailed in the attached Schedule A (Job Description).

1.3. The Manager shall devote their full time and attention and best efforts to the business and affairs of the Company and shall use their best endeavours to promote the interests of the Company.

2. TERM OF AGREEMENT

2.1. This Agreement shall commence on the Effective Date and shall continue for an initial period of {{initial_term_duration}} (e.g., twelve months), unless terminated earlier in accordance with the provisions of this Agreement.

2.2. Upon expiration of the initial term, this Agreement shall automatically renew for successive periods of {{renewal_term_duration}} unless either Party provides written notice of non-renewal at least {{notice_period_days}} days prior to the expiration of the then-current term.

3. REMUNERATION AND BENEFITS

3.1. The Manager shall receive a gross monthly salary of {{salary_amount}} ({{salary_currency}}) payable in arrears on the last working day of each month.

3.2. In addition to the salary, the Manager shall be entitled to receive benefits as per the Company's standard employee benefit policy, which may include {{list_of_benefits, e.g., medical aid, provident fund, annual bonus, etc.}}.

3.3. The Company shall be entitled to deduct from the Manager’s remuneration any amounts required by law, agreed deductions, or as permitted under this Agreement.

4. DUTIES AND RESPONSIBILITIES

4.1. The Manager's specific duties and responsibilities are outlined in Schedule A (Job Description), which is attached hereto and forms an integral part of this Agreement.

4.2. The Manager shall carry out all lawful instructions given by the Company and shall be accountable for {{key_performance_indicators/areas of responsibility}}.

5. CONFIDENTIALITY

5.1. The Manager acknowledges that during the course of employment, they will have access to confidential and proprietary information belonging to the Company. The Manager undertakes not to disclose, directly or indirectly, any such confidential information to any third party during or after the termination of this Agreement, except as required by law or with the Company's prior written consent.

5.2. Confidential Information includes, but is not limited to, business plans, financial data, client lists, trade secrets, operational methods, and intellectual property.

6. TERMINATION

6.1. This Agreement may be terminated by either Party by providing not less than {{notice_period_months}} months' written notice to the other Party.

6.2. The Company may terminate this Agreement immediately for serious misconduct or breach of contract by the Manager, as defined by applicable labour law and Company policy.

6.3. Upon termination, the Manager shall return all Company property, documents, and data.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

7.2. Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or validity thereof, shall first be attempted to be resolved through good faith negotiations between the Parties.

7.3. Failing resolution through negotiation, the dispute shall be referred to mediation in accordance with the rules of {{mediation_body/organisation}}.

7.4. If mediation fails, the dispute shall be submitted to arbitration in accordance with the rules of {{arbitration_body/organisation}}.

8. ENTIRE AGREEMENT

8.1. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.

8.2. No amendment or modification of this Agreement shall be valid unless in writing and signed by both Parties.
