MANUFACTURER REPRESENTATIVE AGREEMENT

This Manufacturer Representative Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}} ("Effective Date") by and between:

{{company_name}} a company duly incorporated and existing under the laws of [South Africa/ {{country}}], with its principal place of business located at {{company_address}} (hereinafter referred to as "Company");

AND

{{representative_name}} a [sole proprietor/company] duly incorporated and existing under the laws of [South Africa/ {{country}}], with its principal place of business located at {{representative_address}} (hereinafter referred to as "Representative").

The Company and the Representative are hereinafter collectively referred to as the "Parties" and individually as a "Party".

1. APPOINTMENT AND SCOPE OF REPRESENTATION

1.1. The Company hereby appoints the Representative as its non-exclusive/exclusive representative to promote, solicit orders for, and sell the products specified in Schedule A (the "Products") within the territory defined as {{territory_description}} (the "Territory").

1.2. The Representative shall use its best efforts to promote the Products and shall not represent any products competitive with the Products within the Territory during the term of this Agreement.

1.3. The Representative shall not have the authority to bind the Company to any contracts or obligations, save as expressly provided herein.

2. DUTIES AND RESPONSIBILITIES OF THE REPRESENTATIVE

2.1. The Representative shall diligently and faithfully perform its duties, including but not limited to:

- Developing and maintaining customer relationships within the Territory.

- Providing regular sales forecasts and reports to the Company.

- Attending product training and sales meetings as required by the Company.

- Adhering to all sales policies and procedures of the Company.

- Providing prompt and efficient customer service.

2.2. The Representative shall bear all of its own expenses incurred in the performance of its duties, including travel, accommodation, and marketing materials, unless otherwise agreed upon in writing by the Company.

3. COMPENSATION

3.1. In consideration for the services rendered, the Company shall pay the Representative a commission of {{commission_percentage}}% on the net sales price of Products ordered by customers within the Territory and accepted by the Company.

3.2. Commissions shall be calculated on {{payment_frequency}} basis and paid within {{days_after_period}} days after the end of each {{payment_frequency}} period.

3.3. The Company reserves the right to adjust commission rates with {{notice_days}} days' written notice to the Representative.

3.4. No commission shall be payable on cancelled orders, returned goods, or uncollectible accounts.

4. TERM AND TERMINATION

4.1. This Agreement shall commence on the Effective Date and shall continue for an initial term of {{initial_term_months}} months/years, unless terminated earlier in accordance with the provisions herein.

4.2. Either Party may terminate this Agreement by providing {{notice_period_days}} days' written notice to the other Party.

4.3. The Company may terminate this Agreement immediately upon written notice if the Representative breaches any material term of this Agreement and fails to cure such breach within {{cure_period_days}} days of receiving written notice thereof.

4.4. Upon termination, the Representative shall return all Company property, including samples, literature, and confidential information.

5. CONFIDENTIALITY

5.1. The Representative acknowledges that it may have access to confidential and proprietary information of the Company. The Representative agrees to keep all such information confidential and not to disclose it to any third party during or after the term of this Agreement.

5.2. Confidential information includes, but is not limited to, product designs, customer lists, pricing strategies, and business plans.

6. INDEMNIFICATION

6.1. The Representative agrees to indemnify and hold harmless the Company from and against any and all claims, damages, liabilities, and expenses arising out of the Representative's actions or omissions in performing its duties under this Agreement, including but not limited to any breach of this Agreement.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1. This Agreement shall be governed by and construed in accordance with the laws of [South Africa/ {{country}}].

7.2. Any dispute arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the Parties. If the Parties are unable to resolve the dispute within {{negotiation_days}} days, the dispute shall be submitted to arbitration in accordance with the rules of {{arbitration_body}}.

8. ENTIRE AGREEMENT

8.1. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
