Marketing Agency Agreement

This Marketing Agency Agreement (“Agreement”) is entered into on {{date}} by and between:

**{{client_company_name}}** (hereinafter referred to as “Client”), a company duly registered under the laws of [Country, e.g., South Africa], with its principal place of business at {{client_company_address}}.

AND

**{{agency_company_name}}** (hereinafter referred to as “Agency”), a company duly registered under the laws of [Country, e.g., South Africa], with its principal place of business at {{agency_company_address}}.

Hereinafter, the Client and the Agency may be referred to individually as “Party” and collectively as “Parties”.

1. Definitions

1.1. “Services” refers to the marketing activities and deliverables provided by the Agency to the Client as detailed in Schedule A.

1.2. “Fees” refers to the compensation payable by the Client to the Agency for the Services rendered.

1.3. “Confidential Information” includes all non-public information, data, and materials disclosed by one Party to the other.

2. Scope of Services

2.1. The Agency agrees to provide the marketing services to the Client as described in detail in Schedule A, attached hereto and forming an integral part of this Agreement.

2.2. Any changes or additions to the Scope of Services must be mutually agreed upon in writing by both Parties.

3. Term and Termination

3.1. This Agreement shall commence on {{start_date}} and shall continue for a period of {{agreement_term}} unless terminated earlier in accordance with the provisions of this Agreement.

3.2. Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party.

3.3. This Agreement may be terminated with immediate effect by either Party if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period}} days of receiving written notice thereof.

4. Fees and Payment

4.1. The Client shall pay the Agency the fees for the Services as set out in Schedule B, attached hereto and forming an integral part of this Agreement.

4.2. All invoices shall be submitted by the Agency to the Client on a {{billing_frequency}} basis and shall be payable within {{payment_terms}} days of the invoice date.

4.3. All fees are exclusive of Value Added Tax (VAT) or any other applicable taxes, which shall be borne by the Client in addition to the Fees.

4.4. Payments shall be made in {{currency}} to the bank account specified by the Agency.

5. Confidentiality

5.1. Both Parties agree to keep confidential all Confidential Information disclosed by the other Party during the term of this Agreement and for a period of {{confidentiality_term_years}} years thereafter.

5.2. Neither Party shall disclose, reproduce, or use for its own benefit any Confidential Information of the other Party without the prior written consent of the disclosing Party.

6. Intellectual Property

6.1. All intellectual property rights in any materials, content, or deliverables created by the Agency specifically for the Client under this Agreement shall belong to the Client upon full payment of the Fees.

6.2. The Agency retains the right to use any general knowledge, experience, and tools developed or acquired prior to or independently of this Agreement.

7. Indemnification

7.1. Each Party agrees to indemnify and hold harmless the other Party, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, and expenses (including reasonable attorney's fees) arising from any breach of this Agreement or any negligent or wrongful acts or omissions by the indemnifying Party.

8. Governing Law and Dispute Resolution

8.1. This Agreement shall be governed by and construed in accordance with the laws of [Country, e.g., South Africa].

8.2. Any dispute, controversy, or claim arising out of or in connection with this Agreement, including its existence, validity, or termination, shall be resolved through amicable negotiations between the Parties.

8.3. If the Parties are unable to resolve the dispute through negotiations within {{negotiation_period}} days, the dispute shall be referred to mediation in accordance with the rules of [Mediation Body, e.g., Arbitration Foundation of Southern Africa (AFSA)].

8.4. If mediation fails, the dispute shall be finally resolved by arbitration in accordance with the rules of [Arbitration Body, e.g., Arbitration Foundation of Southern Africa (AFSA)]. The seat of arbitration shall be [City, Country, e.g., Johannesburg, South Africa].

9. Entire Agreement

9.1. This Agreement, including Schedule A and Schedule B, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral.

Schedule A: Scope of Services

This Schedule details the specific marketing services to be provided by the Agency:

**1. Digital Marketing Strategy:**

- Development of a comprehensive digital marketing strategy tailored to Client’s objectives.

- Market research and competitor analysis.

**2. Social Media Management:**

- Management of Client’s social media platforms (e.g., Facebook, Instagram, Twitter, LinkedIn).

- Content creation and scheduling (e.g., {{num_social_posts_per_week}} posts per week).

- Community engagement and monitoring.

**3. Content Marketing:**

- Creation of blog posts, articles, and website content (e.g., {{num_blog_posts_per_month}} blog posts per month).

- Search Engine Optimization (SEO) for all content.

- On-page and off-page SEO optimization.

- Keyword research and analysis.

- Management of paid advertising campaigns on platforms such as Google Ads and social media platforms.

- Budget management and ad performance optimization.

**6. Email Marketing:**

- Design and execution of email marketing campaigns.

- List management and segmentation.

**7. Reporting and Analytics:**

- Monthly performance reports detailing key metrics and campaign results.

- Regular meetings to review progress and discuss strategy.

Schedule B: Fees and Payment Schedule

This Schedule outlines the fees payable to the Agency for the Services:

**1. Retainer Fee:**

- Payable in advance on the first day of each month.

**2. Project-Based Fees (if applicable):**
