PERFORMANCE-BASED CONTRACT

This Performance-Based Contract ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}} ("Effective Date"), by and between:

{{company_name}} (Registration Number: {{company_registration_number}}), a company duly incorporated under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as "the Employer");

AND

{{employee_name}} (Identification Number: {{employee_id_number}}), residing at {{employee_address}} (hereinafter referred to as "the Employee").

Collectively referred to as "the Parties".

1. Position and Duties

1.1. The Employer hereby employs the Employee in the position of {{position_title}}.

1.2. The Employee shall perform the duties and responsibilities as outlined in the attached Job Description (Schedule A), which may be updated from time to time by the Employer.

1.3. The Employee shall report to {{reporting_manager_name}}.

2. Term of Employment

2.1. This Agreement shall commence on the Effective Date and shall continue for an initial period of {{contract_duration}} (e.g., twelve months) unless terminated earlier in accordance with the provisions of this Agreement.

2.2. The Agreement may be renewed upon mutual written agreement of both Parties.

3. Compensation and Performance Targets

3.1. The Employee's total compensation shall consist of a basic salary and a performance-based incentive.

3.2. Basic Salary: The Employee shall receive a basic monthly salary of {{basic_salary_amount}} {{currency}} ({{currency_words}}) (hereinafter referred to as "Basic Salary"), payable on the {{payment_day}} day of each month.

3.3. Performance-Based Incentive: In addition to the Basic Salary, the Employee shall be eligible for a performance-based incentive, as detailed in Schedule B (Performance Targets and Incentive Structure) attached hereto.

3.4. Performance targets shall be mutually agreed upon at the beginning of each performance period (e.g., quarterly or annually) and documented in writing.

3.5. The incentive will be calculated and paid {{incentive_payment_frequency}} based on the achievement of the agreed-upon performance targets, subject to the Employer's sole discretion and adherence to company policies.

4. Performance Review

4.1. The Employee’s performance shall be reviewed formally on a {{review_frequency}} basis (e.g., quarterly, semi-annually, annually) against the agreed-upon performance targets.

4.2. The Employer shall provide constructive feedback and support to the Employee to assist in meeting targets.

4.3. Failure to consistently meet performance targets may result in remedial action, including but not limited to, further training, performance improvement plans, or in severe cases, termination of employment as per clause 7.

5. Confidentiality

5.1. The Employee agrees to keep confidential all proprietary and confidential information of the Employer obtained during the course of employment, both during and after the term of this Agreement.

5.2. This includes, but is not limited to, business strategies, client lists, financial data, and trade secrets.

6. Governing Law

6.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

7. Termination

7.1. This Agreement may be terminated by either Party by giving {{notice_period}} (e.g., one month's) written notice to the other Party.

7.2. The Employer may terminate this Agreement immediately for serious misconduct or gross negligence by the Employee.

7.3. Upon termination, the Employee shall return all company property and confidential information.

8. Entire Agreement

8.1. This Agreement, including Schedule A and Schedule B, constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
