Real Estate Salesman Independent Contractor Agreement
1. Parties
This Independent Contractor Agreement ("Agreement") is made and entered into on this day, the {{day}} of {{month}}, {{year}}, by and between {{company_name}}, a company duly incorporated under the laws of {{country_of_incorporation}}, with its principal place of business located at {{company_address}} (hereinafter referred to as "Company"), and {{salesman_full_name}}, an individual residing at {{salesman_address}} (hereinafter referred to as "Contractor").
2. Nature of Relationship
The Company hereby engages the Contractor as an independent contractor to provide real estate sales services. Nothing in this Agreement shall be construed as creating an employer-employee relationship, partnership, or joint venture between the Company and the Contractor. The Contractor shall be solely responsible for all income tax, national insurance contributions, and any other statutory deductions or contributions required by law.
3. Scope of Services
The Contractor agrees to perform real estate sales services including, but not limited to, prospecting for clients, listing properties, showing properties, negotiating sales, and assisting in the closing of transactions. The specific properties and clients to be serviced will be determined by mutual agreement between the Company and the Contractor.
The Contractor shall diligently and professionally represent the Company and its clients, adhering to all applicable laws, regulations, and industry best practices in {{country_name}}.
4. Commission and Payment
The Company shall pay the Contractor a commission for completed real estate transactions as per the attached Commission Schedule (Appendix A). Commission shall be calculated based on the net sales price of the property and shall be paid within {{number_of_days}} days of the successful transfer of the property and receipt of full payment by the Company.
No commission shall be payable for transactions that are not successfully concluded or where the Company does not receive its full fee. The Contractor shall be responsible for all business expenses incurred in the performance of services under this Agreement, including but not limited to travel, marketing, and communication costs.
5. Term and Termination
This Agreement shall commence on {{start_date}} and shall continue until terminated by either party upon giving {{notice_period}} days' written notice to the other party. Either party may terminate this Agreement immediately in the event of a material breach by the other party.

6. Confidentiality
The Contractor acknowledges that during the course of providing services, they may have access to confidential and proprietary information belonging to the Company and its clients, including but not limited to client lists, property details, and business strategies. The Contractor agrees to keep all such information strictly confidential and not to disclose it to any third party without the prior written consent of the Company, both during and after the term of this Agreement.
7. Indemnification
The Contractor shall indemnify and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, and expenses (including legal fees) arising out of or in connection with the Contractor's performance of services under this Agreement, including any negligence or willful misconduct.
8. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{country_name}}. Any dispute arising out of or in connection with this Agreement shall first be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation, it shall be submitted to mediation in accordance with the rules of {{mediation_body}}.
9. Entire Agreement
