Reseller Agreement

This Reseller Agreement ("Agreement") is made and entered into as of {{date_of_agreement}} (the "Effective Date"), by and between:

{{company_name}}, a company duly registered in accordance with the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as "Principal"); and

{{reseller_company_name}}, a company duly registered in accordance with the laws of {{reseller_country}}, with its principal place of business at {{reseller_address}} (hereinafter referred to as "Reseller").

Collectively, Principal and Reseller shall be referred to as the "Parties" and individually as a "Party".

1. Appointment and Acceptance

1.1. Principal hereby appoints Reseller, and Reseller hereby accepts such appointment, as a non-exclusive/exclusive (delete as applicable) reseller of the Principal's products/services, as more fully described in Schedule A (the "Products").

1.2. The Reseller shall promote and sell the Products to customers within the territory of {{territory}} (the "Territory"), subject to the terms and conditions of this Agreement.

2. Term and Termination

2.1. This Agreement shall commence on the Effective Date and continue for an initial period of {{initial_term_years}} year(s), unless terminated earlier in accordance with the provisions of this Agreement.

2.2. Either Party may terminate this Agreement by providing {{notice_period_days}} days' written notice to the other Party.

2.3. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period_days}} days of receiving written notice thereof.

3. Pricing and Payment

3.1. The Principal shall provide the Products to the Reseller at the wholesale prices set out in Schedule B ("Wholesale Prices").

3.2. The Reseller shall be free to determine the resale price of the Products, provided that such price is consistent with market standards and does not damage the Principal's brand reputation.

3.3. Payment for Products supplied by the Principal to the Reseller shall be made by the Reseller within {{payment_days}} days from the date of the Principal's invoice.

4. Marketing and Support

4.1. The Reseller shall use its best endeavors to market and promote the Products within the Territory.

4.2. The Principal shall provide the Reseller with reasonable marketing materials and technical support for the Products.

4.3. All marketing materials created by the Reseller must be approved by the Principal in writing prior to their use.

5. Confidentiality

5.1. Both Parties agree to keep confidential all proprietary or confidential information disclosed by the other Party during the term of this Agreement and for a period of {{confidentiality_years}} years thereafter.

5.2. Confidential information includes, but is not limited to, business plans, financial information, customer lists, and product specifications.

6. Limitation of Liability

6.1. Neither Party shall be liable to the other for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with this Agreement.

6.2. The total liability of the Principal to the Reseller for any claim arising out of or in connection with this Agreement shall not exceed the total amount paid by the Reseller to the Principal in the twelve (12) months preceding the date the claim arose.

7. Governing Law and Dispute Resolution

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}.

7.2. Any dispute arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the Parties.

7.3. If the Parties are unable to resolve the dispute, it shall be referred to mediation in accordance with the rules of {{mediation_body}}.
