Parties to the Agreement
This Service Level Agreement ("Agreement") is made and entered into effective as of {{effective_date}} (the "Effective Date")
BETWEEN:
{{service_provider_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{service_provider_address}} (hereinafter referred to as the "Service Provider").
AND
{{client_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{client_address}} (hereinafter referred to as the "Client").
The Service Provider and the Client are hereinafter collectively referred to as the "Parties" and individually as a "Party".
Purpose of Agreement
This Agreement sets forth the terms and conditions under which the Service Provider will provide specific services to the Client, and defines the level of service, responsibilities of each Party, and the remedies for any failure to meet the agreed service standards.
Description of Services
The Service Provider agrees to provide the following services (the "Services") to the Client:

The scope of the Services may be further detailed in a separate Statement of Work (SOW) attached hereto as Schedule A, which shall be deemed incorporated into this Agreement by reference.
Service Availability and Performance Standards
The Service Provider commits to delivering the Services with the following availability and performance standards:

- **Response Time:** Initial response to critical issues within {{critical_issue_response_time}}.
- **Resolution Time:** Target resolution time for critical issues within {{critical_issue_resolution_time}}.
- **Maintenance Windows:** Scheduled maintenance will occur during {{maintenance_window_details}} with a minimum of {{maintenance_notice_period}} notice to the Client.
The specific metrics and reporting procedures for these standards are further defined in Schedule B: Service Level Matrix.
Client Responsibilities
To ensure the effective delivery of the Services, the Client agrees to:
- Provide timely and accurate information as requested by the Service Provider.
- Ensure access to necessary systems, facilities, and personnel as required for service delivery.
- Appoint a designated contact person for communication with the Service Provider.
- Cooperate with the Service Provider in troubleshooting and problem resolution.
- Adhere to payment terms as outlined in Section 7.
Service Fees and Payment Terms
The Client agrees to pay the Service Provider the following fees for the Services:
- **Base Fee:** {{currency}}{{base_fee}} per {{billing_period}}.
- **Additional Charges:** Any additional services beyond the agreed scope will be charged at {{additional_service_rate}}.
- **Payment Schedule:** Invoices will be issued {{invoice_frequency}} and are due within {{payment_terms}} days of the invoice date.
- **Late Payment:** Late payments may incur an interest charge of {{late_payment_interest_rate}}% per month or the maximum permissible by law, whichever is lower.
Service Credits and Remedies
In the event the Service Provider fails to meet the agreed-upon Service Availability and Performance Standards, the Client may be eligible for service credits as follows:
- Failure to meet {{specific_SLA_metric}}: {{service_credit_percentage}}% of the monthly service fee, up to a maximum of {{max_service_credit_percentage}}% per month.
The application of service credits is the sole and exclusive remedy for the Service Provider's failure to meet the specified service levels. Details on how to claim service credits are outlined in Schedule C: Service Credit Policy.
Term and Termination
This Agreement shall commence on the Effective Date and continue for a period of {{initial_term_length}} (the "Initial Term"), unless sooner terminated in accordance with the provisions herein.
Automatically renews for successive {{renewal_term_length}} periods unless either Party provides written notice of non-renewal at least {{notice_period_for_non_renewal}} days prior to the end of the then-current term.
Either Party may terminate this Agreement with immediate effect upon written notice if the other Party commits a material breach of its obligations under this Agreement and fails to remedy such breach within {{cure_period}} days of receiving written notice of the breach.
Confidentiality
Both Parties agree to keep confidential all non-public information, including but not limited to business plans, financial information, client data, and technical specifications, acquired as a result of this Agreement. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period}}.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any dispute, controversy or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the Arbitration Rules of {{arbitration_body}}.
