SERVICES AGREEMENT WITH ROYALTIES OR COMMISSION

This Services Agreement (the “Agreement”) is made and entered into as of {{date}} (the “Effective Date”)

PARTIES

BETWEEN:

{{company_name}}, a company duly incorporated in accordance with the laws of [Country], with its principal place of business at {{company_address}} (hereinafter referred to as “the Company”)

AND

{{service_provider_name}}, an individual residing at {{service_provider_address}} / a company duly incorporated in accordance with the laws of [Country], with its principal place of business at {{service_provider_address}} (hereinafter referred to as “the Service Provider” ).

(The Company and the Service Provider are collectively referred to as “the Parties” and individually as “a Party”.)

RECITALS

WHEREAS, the Company desires to retain the Service Provider to perform certain services, and the Service Provider desires to perform such services on the terms and conditions set forth herein.

WHEREAS, the Parties agree that the Service Provider’s compensation shall include royalties or commission based on the outcome or success of the services provided.

SCOPE OF SERVICES

The Service Provider agrees to perform the following services (the “Services”):

The Service Provider shall perform the Services diligently, professionally, and to the best of their ability, and in accordance with any agreed-upon specifications or standards.

TERM AND TERMINATION

This Agreement shall commence on the Effective Date and shall continue until {{end_date}} or until terminated earlier in accordance with the provisions of this Agreement.

Either Party may terminate this Agreement by providing {{notice_period}} days’ written notice to the other Party.

This Agreement may be terminated with immediate effect by either party if:

a) The other party commits a material breach of any terms of this Agreement and fails to remedy such breach within {{cure_period}} days of written notice requiring it to do so.

b) The other party becomes insolvent, goes into liquidation, or has a receiver or administrator appointed over any of its assets.

COMPENSATION AND ROYALTIES/COMMISSION

In consideration for the Services rendered by the Service Provider, the Company shall pay the Service Provider:

a) A base fee of {{base_fee_amount}} (if applicable), payable on {{base_fee_payment_terms}}.

b) A royalty/commission of {{percentage}}% of {{basis_for_royalty_commission}}.

c) Royalty/commission payments shall be calculated and paid on a {{payment_frequency}} basis, within {{days_after_period}} days after the end of each {{payment_period}}.

d) The Company shall provide the Service Provider with a detailed statement of account supporting all royalty/commission calculations.

CONFIDENTIALITY

The Service Provider agrees to keep confidential all non-public information concerning the Company’s business, operations, and clients, which they may acquire during the term of this Agreement. This obligation shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.

INTELLECTUAL PROPERTY

All intellectual property rights, including but not limited to copyrights, patents, trademarks, and trade secrets, developed or created by the Service Provider in the course of performing the Services under this Agreement, shall be the sole property of the Company.

INDEMNIFICATION

The Service Provider agrees to indemnify and hold harmless the Company from any claims, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or related to the Service Provider’s performance of the Services or any breach of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of [Country in Southern Africa].

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof.
