Social Media Management Contract

This Social Media Management Contract ('Agreement') is entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as the 'Client'); and

{{manager_name}}, an individual/company residing at/with its principal place of business at {{manager_address}} (hereinafter referred to as the 'Manager').

Collectively referred to as the 'Parties'.

1. Scope of Services

The Manager agrees to provide the following social media management services to the Client (the 'Services'):

- Develop and implement a social media strategy for {{platform_list}}.

- Create, curate, and schedule engaging content (text, images, videos) for {{platform_list}}.

- Monitor social media channels, respond to comments and messages, and engage with the audience.

- Run paid social media campaigns on {{platform_list}} as agreed upon.

- Provide monthly reports on social media performance, including key metrics and insights.

- Services to commence on {{start_date}} and continue until terminated in accordance with this Agreement.

2. Client Responsibilities

The Client agrees to provide the Manager with:

- Access to all necessary social media accounts and tools.

- Relevant brand guidelines, marketing materials, and content suggestions.

- Timely feedback and approvals on content and strategies.

- Payment for services as outlined in Section 3.

3. Payment Terms

The Client agrees to pay the Manager a fee of {{currency}}{{amount}} per {{payment_period}} (e.g., month, project).

Payment shall be made on the {{payment_day}} of each {{payment_period}}, via {{payment_method}}.

Invoices will be submitted by the Manager on or before the {{invoice_submission_day}} of each {{payment_period}}.

4. Term and Termination

This Agreement shall commence on {{start_date}} and shall continue for an initial period of {{initial_term_duration}} (e.g., three months), after which it will automatically renew for successive {{renewal_period}} terms unless either Party provides written notice of termination at least {{notice_period}} days prior to the end of the then-current term.

Either Party may terminate this Agreement immediately upon written notice if the other Party breaches any material term of this Agreement and fails to cure such breach within {{cure_period}} days of receiving written notice thereof.

Upon termination, the Client shall pay the Manager for all services rendered up to the date of termination.

5. Confidentiality

Both Parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the term of this Agreement. This includes, but is not limited to, business strategies, marketing plans, client lists, and financial information.

This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period}}.

6. Intellectual Property

All content created by the Manager specifically for the Client under this Agreement shall be the sole property of the Client upon full payment for the services.

The Manager grants the Client a perpetual, non-exclusive, worldwide, royalty-free license to use any pre-existing intellectual property belonging to the Manager that is incorporated into the deliverables.

7. Independent Contractor Status

The Manager is an independent contractor and not an employee of the Client. This Agreement does not create a partnership, joint venture, or agency relationship between the Parties.

The Manager shall be solely responsible for all taxes, national insurance, and other contributions arising from the compensation paid under this Agreement.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

Any disputes arising out of or in connection with this Agreement shall be resolved through negotiation in good faith. If negotiation fails, the Parties agree to pursue mediation with a mutually agreed-upon mediator. If mediation is unsuccessful, the dispute shall be submitted to the courts of {{country}} for resolution.

9. Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, and negotiations, whether written or oral, relating to the subject matter hereof.

Any amendments to this Agreement must be in writing and signed by both Parties.
