Talent Agreement

RECITALS

WHEREAS, {{company_name}} (hereinafter referred to as the "Company"), with its principal place of business at {{company_address}}, desires to engage the services of {{talent_name}} (hereinafter referred to as the "Talent"), residing at {{talent_address}}.

WHEREAS, the Talent is skilled and experienced in {{talent_field}} and is willing to provide such services to the Company under the terms and conditions set forth herein.

1. ENGAGEMENT AND TERM

1.1 The Company hereby engages the Talent, and the Talent hereby accepts such engagement, to provide services as described in Schedule A (Scope of Services) attached hereto.

1.2 This Agreement shall commence on {{start_date}} and shall continue until {{end_date}}, unless terminated earlier in accordance with the provisions of this Agreement.

2. COMPENSATION

2.1 In consideration for the services rendered by the Talent, the Company shall pay the Talent a fee of {{currency}}{{amount}} per {{payment_period}}, payable on or before {{payment_due_date}}.

2.2 The Talent shall be responsible for all applicable taxes and statutory contributions. The Company shall not be responsible for withholding or paying any taxes on behalf of the Talent.

3. INTELLECTUAL PROPERTY

3.1 All intellectual property rights, including but not limited to copyrights, trademarks, and patents, arising from the services performed by the Talent under this Agreement shall be the sole and exclusive property of the Company.

3.2 The Talent hereby assigns to the Company all rights, title, and interest in and to any work product created by the Talent during the term of this Agreement.

4. CONFIDENTIALITY

4.1 The Talent agrees to keep confidential all non-public information, trade secrets, and proprietary information of the Company that may be disclosed during the term of this Agreement.

4.2 This confidentiality obligation shall survive the termination of this Agreement.

5. WARRANTIES AND REPRESENTATIONS

5.1 The Talent warrants and represents that they have the full right, power, and authority to enter into this Agreement and to perform the services contemplated herein.

5.2 The Talent further warrants that the services provided shall be performed in a professional and workmanlike manner, in accordance with industry standards.

6. INDEPENDENT CONTRACTOR STATUS

6.1 The Talent acknowledges and agrees that they are an independent contractor and not an employee, partner, or joint venturer of the Company.

6.2 The Talent shall not be entitled to any employee benefits, including but not limited to health insurance, paid time off, or retirement plans, from the Company.

7. TERMINATION

7.1 Either party may terminate this Agreement by providing {{notice_period}} days' written notice to the other party.

7.2 The Company may terminate this Agreement immediately for cause, including but not limited to breach of contract, misconduct, or failure to perform services as required.

8. GOVERNING LAW AND DISPUTE RESOLUTION
