TALENT MANAGEMENT AGREEMENT

This Talent Management Agreement (“Agreement”) is made and entered into this {{day}} day of {{month}}, {{year}}, by and between:

{{company_name}}, a company duly incorporated under the laws of {{jurisdiction}}, with its principal place of business at {{company_address}} (hereinafter referred to as “Manager”);

AND

{{talent_name}}, an individual residing at {{talent_address}}, with identity/passport number {{talent_id_number}} (hereinafter referred to as “Talent”).

Collectively referred to as “Parties” and individually as “Party”.

1. APPOINTMENT OF MANAGER

The Talent hereby appoints the Manager as their exclusive manager and representative for a period of {{agreement_term_years}} years, commencing on {{start_date}} and terminating on {{end_date}}, unless extended by mutual written agreement. The Manager accepts such appointment and agrees to use its best efforts to promote the Talent’s career in the field(s) of {{field_of_endeavor_1}}, {{field_of_endeavor_2}}, etc.

2. DUTIES OF MANAGER

The Manager shall advise and counsel the Talent in all matters relating to their professional career, including but not limited to, strategic planning, career development, negotiation of contracts, public relations, and financial management. The Manager shall actively seek and secure engagements, endorsements, and other opportunities for the Talent.

The Manager shall not be responsible for providing legal or financial advice, and the Talent is encouraged to seek independent counsel for such matters.

3. DUTIES OF TALENT

The Talent shall diligently and conscientiously devote their time and efforts to their professional career. The Talent shall promptly notify the Manager of all offers of employment or engagements and shall refer all inquiries to the Manager. The Talent agrees to act professionally and in good faith in all dealings related to their career. The Talent shall provide the Manager with all necessary information and materials to effectively perform its duties.

4. COMPENSATION

In consideration for the services rendered by the Manager, the Talent agrees to pay the Manager a commission of {{commission_percentage}}% of all gross earnings derived from engagements, contracts, or opportunities secured or negotiated by the Manager on behalf of the Talent during the term of this Agreement and for a period of {{post_term_commission_months}} months thereafter, regardless of when such earnings are received. 'Gross earnings' shall include, but not be limited to, salaries, fees, royalties, bonuses, and any other form of compensation.

The Talent shall provide the Manager with regular statements of earnings and make payments within {{payment_due_days}} days of receipt of such earnings.

5. EXPENSES

The Manager shall pay for its own ordinary operating expenses. Any extraordinary expenses incurred by the Manager on behalf of the Talent (e.g., travel, accommodation, marketing campaigns) shall be discussed and approved by the Talent in advance, and the Talent shall reimburse the Manager for such approved expenses within {{reimbursement_due_days}} days of receiving an itemised invoice.

6. TERMINATION

This Agreement may be terminated by either Party upon {{notice_period_days}} days' written notice in the event of a material breach of this Agreement by the other Party, provided such breach is not remedied within the notice period. This Agreement may also be terminated by mutual written consent of both Parties.

7. CONFIDENTIALITY

Both Parties agree to keep all confidential information, including but not limited to, financial terms, career strategies, and personal information, strictly confidential during and after the term of this Agreement.

8. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{governing_law_jurisdiction}}.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof. No modification or amendment of this Agreement shall be effective unless in writing and signed by both Parties.
