TOLL MANUFACTURING AGREEMENT
This Toll Manufacturing Agreement ('Agreement') is made and entered into this {{day}} day of {{month}}, {{year}} ('Effective Date'), by and between:
{{manufacturer_company_name}}, a company duly incorporated under the laws of {{manufacturer_country}}, with its principal place of business at {{manufacturer_address}} (hereinafter referred to as 'Manufacturer');
AND
{{client_company_name}}, a company duly incorporated under the laws of {{client_country}}, with its principal place of business at {{client_address}} (hereinafter referred to as 'Client').
Manufacturer and Client are hereinafter collectively referred to as the 'Parties' and individually as a 'Party'.
1. RECITALS
WHEREAS, Client is in the business of {{client_business_description}} and desires to have certain products manufactured;
WHEREAS, Manufacturer possesses the necessary facilities, equipment, and expertise to manufacture such products in accordance with Client's specifications;
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
2. SCOPE OF SERVICES
2.1. The Client hereby engages the Manufacturer, and the Manufacturer hereby agrees, to manufacture the products ('Products') as detailed in the specifications provided by the Client ('Specifications'). The initial list of Products and their Specifications are attached hereto as Schedule A.
2.2. The Manufacturer shall use the raw materials, components, and packaging provided by the Client ('Client Materials') or procured by the Manufacturer strictly in accordance with Client's written instructions.
2.3. The Manufacturer shall adhere strictly to the production schedules and quality control standards as agreed upon by both Parties and detailed in Schedule B.
3. CLIENT'S RESPONSIBILITIES
3.1. The Client shall timely supply the Manufacturer with all necessary Client Materials as per the agreed production schedule.
3.2. The Client shall provide the Manufacturer with complete and accurate Specifications for the Products.
3.3. The Client shall inspect and accept or reject Products within {{number_of_days}} days of delivery, providing written notice of rejection with specific reasons.
4. MANUFACTURER'S RESPONSIBILITIES
4.1. The Manufacturer shall manufacture the Products in a good and workmanlike manner, in strict conformity with the Specifications and all applicable laws and regulations of {{manufacturer_country}}.
4.2. The Manufacturer shall implement and maintain appropriate quality control procedures throughout the manufacturing process.
4.3. The Manufacturer shall safeguard all Client Materials from damage, loss, or misuse and use them solely for the production of the Products for the Client.
5. TERM AND TERMINATION
5.1. This Agreement shall commence on the Effective Date and continue for a period of {{term_length_years}} ({{term_length_years_text}}) years, unless sooner terminated in accordance with the provisions hereof.
5.2. Either Party may terminate this Agreement by providing {{notice_period_days}} days' written notice to the other Party in the event of a material breach of this Agreement by the other Party, provided such breach is not cured within the notice period.
5.3. Upon termination, the Manufacturer shall return all unused Client Materials and provide an accounting of all Products manufactured.
6. PAYMENT TERMS
6.1. The Client shall pay the Manufacturer a manufacturing fee as per the rates specified in Schedule C, for each unit of Product manufactured and accepted.
6.2. Invoices shall be submitted by the Manufacturer on a {{billing_frequency}} basis and shall be payable by the Client within {{payment_due_days}} days of receipt.
6.3. All payments shall be made in {{currency}} to the Manufacturer's designated bank account.
7. INTELLECTUAL PROPERTY
7.1. All intellectual property rights in the Specifications, Client Materials, and the Products shall remain exclusively with the Client.
7.2. The Manufacturer shall not use the Client's intellectual property for any purpose other than fulfilling its obligations under this Agreement.
8. CONFIDENTIALITY
8.1. Both Parties agree to keep confidential all non-public information obtained from the other Party during the course of this Agreement.
8.2. This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period_years}} years.
9. INDEMNIFICATION
9.1. The Client shall indemnify, defend, and hold harmless the Manufacturer from and against any and all claims, liabilities, costs, and expenses arising from the specifications, design, or intellectual property of the Products.
9.2. The Manufacturer shall indemnify, defend, and hold harmless the Client from and against any and all claims, liabilities, costs, and expenses arising from the Manufacturer's negligence or willful misconduct in the manufacturing process.
10. GOVERNING LAW AND DISPUTE RESOLUTION
10.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_country_law}}.
10.2. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{arbitration_city}}, {{arbitration_country}}, in accordance with the rules of the {{arbitration_institution}}.
11. ENTIRE AGREEMENT
This Agreement, including all attached Schedules, constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
IN WITNESS WHEREOF, the Parties hereto have executed this Agreement as of the Effective Date.
