TRANSPORT CONTRACT

This Transport Contract (hereinafter referred to as the “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}},

BY AND BETWEEN:

{{company_name}}, a company duly incorporated and registered under the laws of [Relevant African Country, e.g., South Africa], with its principal place of business at {{company_address}} (hereinafter referred to as the “Client”).

AND

{{transporter_name}}, [Company/Individual] registered under the laws of [Relevant African Country], with its principal place of business/residential address at {{transporter_address}}, [License/Registration Number: {{transporter_license_number}}] (hereinafter referred to as the “Transporter”).

The Client and the Transporter shall hereinafter be collectively referred to as the “Parties” and individually as a “Party”.

1. SCOPE OF SERVICES

1.1 The Client hereby engages the Transporter to provide transportation services for {{description_of_goods_to_be_transported}} (hereinafter referred to as the “Goods”) from {{origin_address}} to {{destination_address}}.

1.2 The specific details of each transportation assignment, including quantity, type of goods, pick-up dates, delivery dates, and specific routes, shall be communicated to the Transporter in writing (e.g., via email or a separate work order) by the Client.

1.3 The Transporter agrees to provide the transportation services using suitable vehicles that are well-maintained, roadworthy, and fit for the purpose of transporting the Goods, in compliance with all relevant traffic and transportation regulations of [Relevant African Country].

2. DURATION OF AGREEMENT

2.1 This Agreement shall commence on {{start_date}} and shall continue for an initial period of {{duration_of_agreement_in_months}} months/years, unless terminated earlier in accordance with the provisions of this Agreement.

2.2 Upon expiry of the initial period, this Agreement may be renewed for further periods upon mutual written agreement of the Parties.

3. REMUNERATION AND PAYMENT

3.1 The Client shall pay the Transporter a fee for the services rendered as per the rates agreed upon and specified in Schedule A (attached hereto) or as separately agreed upon for each specific transportation assignment.

3.2 All invoices submitted by the Transporter shall be paid within {{payment_days}} days from the date of receipt of a valid invoice.

3.3 Fees are exclusive of any applicable taxes (e.g., VAT) which shall be charged at the prevailing rate and clearly itemized on invoices.

3.4 Payment shall be made in {{currency}} to the Transporter’s designated bank account: {{bank_name}}, Account No: {{account_number}}, Branch Code: {{branch_code}}.

4. RESPONSIBILITIES OF THE TRANSPORTER

4.1 The Transporter shall be responsible for the safe and timely delivery of the Goods.

4.2 The Transporter shall ensure that all drivers are suitably qualified, licensed, and medically fit to operate the vehicles.

4.3 The Transporter shall obtain and maintain all necessary licenses, permits, and insurance policies required by law for the provision of the services.

4.4 The Transporter shall take all reasonable precautions to prevent loss, damage, or theft of the Goods during transit.

4.5 The Transporter shall comply with all applicable laws, regulations, and industry standards related to transportation in [Relevant African Country].

5. RESPONSIBILITIES OF THE CLIENT

5.1 The Client shall provide accurate and complete information regarding the Goods, including weight, dimensions, and any special handling instructions.

5.2 The Client shall ensure that the Goods are properly packaged and ready for transport at the agreed pick-up time and location.

5.3 The Client shall provide safe and accessible loading and unloading facilities.

6. INSURANCE AND LIABILITY

6.1 The Transporter shall maintain adequate insurance coverage for the Goods during transit, including but not limited to goods in transit insurance, public liability insurance, and motor vehicle insurance, with coverage amounts not less than {{insurance_coverage_amount_currency}}.

6.2 The Transporter shall be liable for any loss or damage to the Goods occurring during transit, except where such loss or damage is caused by Force Majeure, faulty packaging by the Client, or inherent vice of the Goods.

6.3 The Client shall notify the Transporter of any loss or damage to the Goods within {{notification_days}} days of delivery.

7. TERMINATION

7.1 Either Party may terminate this Agreement by giving {{notice_period_days}} days’ written notice to the other Party.

7.2 Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period_days}} days of receiving written notice to do so.

8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1 This Agreement shall be governed by and construed in accordance with the laws of [Relevant African Country].

8.2 Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in [City, Relevant African Country] in accordance with the rules of the [Relevant Arbitration Body, e.g., Arbitration Foundation of Southern Africa (AFSA)].

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the Parties with respect to the subject matter hereof.
