DATE

This Video License Agreement (the "Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}} (the "Effective Date"),

PARTIES

BETWEEN:

{{licensor_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{licensor_address}} (hereinafter referred to as the "Licensor");

AND

{{licensee_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{licensee_address}} (hereinafter referred to as the "Licensee").

(Each a "Party" and collectively, the "Parties")

RECITALS

WHEREAS, the Licensor is the sole and exclusive owner of all rights, title, and interest in and to the video content described in Schedule A attached hereto (the "Video Content"); and

WHEREAS, the Licensee desires to obtain a license to use the Video Content in accordance with the terms and conditions set forth herein.

GRANT OF LICENSE

1.1. Subject to the terms and conditions of this Agreement, the Licensor hereby grants to the Licensee a non-exclusive, non-transferable, revocable license to use, reproduce, display, and distribute the Video Content for the following purposes: {{purpose_of_use}} (the "Permitted Use").

1.2. This license is granted for a term commencing on the Effective Date and continuing until {{end_date}} or until terminated earlier in accordance with this Agreement.

FEES AND PAYMENT

2.1. In consideration for the license granted herein, the Licensee shall pay the Licensor a license fee of {{currency}}{{amount}} (the "License Fee").

2.2. The License Fee shall be payable in full on or before {{payment_due_date}}.

REPRESENTATIONS AND WARRANTIES

3.1. The Licensor represents and warrants that it is the sole owner of the Video Content and has the full right and authority to grant the license herein without infringing upon the rights of any third party.

3.2. The Licensee represents and warrants that it will use the Video Content strictly in accordance with the Permitted Use and all applicable laws and regulations.

OWNERSHIP

4.1. The Licensee acknowledges that all rights, title, and interest in and to the Video Content, including all intellectual property rights, remain with the Licensor. Nothing in this Agreement shall be construed as a transfer of ownership of the Video Content to the Licensee.

4.2. The Licensee shall not modify, adapt, sublicense, or otherwise exploit the Video Content in any manner inconsistent with the terms of this Agreement without the prior written consent of the Licensor.

INDEMNIFICATION

5.1. The Licensee agrees to indemnify, defend, and hold harmless the Licensor from and against any and all claims, damages, liabilities, costs, and expenses arising out of or in connection with the Licensee's use of the Video Content or any breach of this Agreement.

GOVERNING LAW

6.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

ENTIRE AGREEMENT

7.1. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
