This Agreement is made and entered into as of {{date_day}} day of {{date_month}}, {{date_year}}.

PARTIES

This Virtual Assistant Contract ("Agreement") is made between:

{{company_name}}, a company duly registered under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as "Client"), AND

{{va_name}}, an individual residing at {{va_address}}, (hereinafter referred to as "Virtual Assistant").

SCOPE OF SERVICES

The Client hereby engages the Virtual Assistant to perform the following services (hereinafter referred to as the "Services"): {{scope_of_services}}.

The Virtual Assistant agrees to perform the Services to the best of their ability, in a professional manner, and in accordance with the specifications and deadlines agreed upon with the Client.

TERM OF AGREEMENT

This Agreement shall commence on {{start_date}} and shall continue until terminated by either party in accordance with the provisions of this Agreement. Unless otherwise specified, this agreement is for a period of {{contract_duration}}.

COMPENSATION

For the Services rendered, the Client shall pay the Virtual Assistant at a rate of {{hourly_rate}} per hour / a fixed fee of {{fixed_fee}} per project. Payment shall be made on a {{payment_frequency}} basis, within {{payment_due_days}} days of receiving an invoice from the Virtual Assistant.

The Virtual Assistant shall be responsible for all their own taxes and statutory contributions.

CONFIDENTIALITY

The Virtual Assistant agrees to keep confidential all information, data, and business affairs of the Client that come to their knowledge during the performance of the Services. This obligation of confidentiality shall survive the termination of this Agreement.

INTELLECTUAL PROPERTY

All work product, including but not limited to documents, reports, graphics, and other materials produced by the Virtual Assistant in the course of performing the Services, shall be the sole property of the Client.

INDEPENDENT CONTRACTOR STATUS

The Virtual Assistant acknowledges and agrees that they are an independent contractor and not an employee of the Client. The Virtual Assistant shall not be entitled to any employee benefits, including but not limited to health insurance, retirement plans, or paid time off.

TERMINATION

Either party may terminate this Agreement by providing {{notice_period}} days' written notice to the other party. Upon termination, the Client shall pay the Virtual Assistant for Services rendered up to the date of termination.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.
