Website Linking Agreement
This Website Linking Agreement (the “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

AND

Party A and Party B are hereinafter collectively referred to as the “Parties” and individually as a “Party.”
1. Purpose of Agreement
This Agreement sets forth the terms and conditions under which Party A will place a link to Party B’s website on its own website, and/or Party B will place a link to Party A’s website on its own website (the “Linking Activity”). 2. Link Placement and Appearance
2.1. 2.2. 2.3. The Parties agree that the links shall be clearly identifiable and functional. Each Party grants the other Party a non-exclusive, non-transferable, revocable license to use its trade names, trademarks, service marks, logos, and/or links solely for the purpose of the Linking Activity as described herein.
3. Website Content and Representation
3.1. Each Party represents and warrants that its website content is and will remain appropriate, legal, and does not violate any third-party rights.
3.2. Each Party agrees not to link to any website that contains illegal, offensive, or otherwise inappropriate content. Should any linked content become inappropriate, the linking Party shall remove the link within {{notice_period}} days of notification from the other Party.
4. Disclaimer of Endorsement
The Parties acknowledge and agree that the placement of a link on either website does not imply endorsement, sponsorship, or affiliation with the linked website or its content, products, or services. Each Party is solely responsible for its own website content and business practices.
5. Term and Termination
5.1. This Agreement shall commence on the date first written above and shall continue for a period of {{term_duration, e.g., one year}} (the “Term”), unless terminated earlier as provided herein.
5.2. Either Party may terminate this Agreement at any time with {{notice_period}} days’ written notice to the other Party.
5.3. Upon termination of this Agreement, each Party shall promptly remove all links to the other Party’s website from its own website. This removal shall be completed within {{removal_period}} days of the termination notice.
6. Limitation of Liability
To the maximum extent permitted by law, neither Party shall be liable to the other for any indirect, incidental, consequential, special, or exemplary damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with this Agreement, even if advised of the possibility of such damages.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Country], without regard to its conflict of laws principles. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Country].
8. Entire Agreement
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
