EMPLOYEE AUTHORSHIP CERTIFICATE

This Employee Authorship Certificate (hereinafter "Certificate") is made and entered into on this {{date_of_certificate}} by and between:

BACKGROUND

This acknowledgment does not, however, confer any ownership rights to the Employee over the intellectual property embodied in the Work, which remains subject to the terms of the Employee's employment agreement and this Certificate.

ASSIGNMENT OF INTELLECTUAL PROPERTY RIGHTS

The Employee hereby confirms and agrees that all intellectual property rights, including but not limited to copyrights, patents, trademarks, trade secrets, and any other proprietary rights, in and to the Work, whether conceived or first reduced to practice by the Employee, solely or jointly with others, within the scope of their employment with the Company, are and shall remain the sole and exclusive property of the Company.

The Employee further agrees to execute any and all documents and to perform any and all acts that the Company may deem necessary or desirable to secure for the Company or its assigns, intellectual property rights in the Work, including patent applications, copyright registrations, and assignments, at the Company's expense.

CONFIDENTIALITY

The Employee acknowledges that the Work and any information related to its creation and development are confidential and proprietary to the Company. The Employee agrees to maintain the strictest confidentiality regarding the Work and not to disclose any part thereof to any third party without the prior written consent of the Company, both during and after the term of their employment.

GOVERNING LAW

This Certificate shall be governed by and construed in accordance with the laws of {{jurisdiction}}.

ENTIRE AGREEMENT

This Certificate constitutes the entire agreement between the Company and the Employee with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral, relating to the Work.
