Parties to the Amendment

This Amendment to Sales Contract (hereafter 'Amendment') is made and entered into on this {{day}} day of {{month}}, {{year}}, By and Between:

**Seller:**

{{seller_company_name}}, a company duly incorporated under the laws of {{seller_country}}, with its principal place of business at {{seller_address}} (hereafter 'Seller').

**Buyer:**

(Hereafter collectively referred to as 'Parties' and individually as 'Party')

Recitals

WHEREAS, the Parties previously entered into a Sales Contract dated {{original_contract_date}} (hereafter 'Original Contract') for the sale and purchase of {{goods_or_services_description}};

WHEREAS, the Parties now desire to amend certain terms and conditions of the Original Contract as set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

Amendments

1. **Clause to be Amended:** Article/Clause {{original_clause_number}} of the Original Contract, titled '{{original_clause_title}}', shall be amended to read as follows:

2. **Addition of New Clause:** The following new Article/Clause {{new_clause_number}} shall be added to the Original Contract:

3. **Deletion of Clause:** Article/Clause {{deleted_clause_number}} of the Original Contract, titled '{{deleted_clause_title}}', is hereby deleted in its entirety.

4. **Change in Quantity/Price/Delivery:** The {{quantity/price/delivery_term}} specified in Article/Clause {{relevant_original_clause_number}} of the Original Contract shall be changed from {{original_term_details}} to {{new_term_details}}.

Effect of Amendment

Except as expressly amended by this Amendment, all other terms and conditions of the Original Contract shall remain in full force and effect.

This Amendment shall be read and construed as an integral part of the Original Contract.

Governing Law and Jurisdiction

This Amendment shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

Any dispute arising out of or in connection with this Amendment, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{city}}, {{country}} in accordance with the rules of {{arbitration_institution}}.

Entire Agreement

This Amendment, together with the Original Contract, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating thereto.

Counterparts

This Amendment may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
