AMENDMENT AGREEMENT
This AMENDMENT AGREEMENT (hereinafter referred to as “the Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}
BY AND BETWEEN:

AND
{{party_two_name}} (Registration Number: {{party_two_registration_number}}), a company duly incorporated in accordance with the laws of {{party_two_jurisdiction}}, with its principal place of business at {{party_two_address}} (hereinafter referred to as “Party B”)
(Each a “Party” and collectively the “Parties”)
RECITALS
WHEREAS, the Parties previously entered into an agreement titled {{original_agreement_title}} on {{original_agreement_date}} (hereinafter referred to as “the Original Agreement”).
AND WHEREAS, the Parties now desire to amend certain terms and conditions of the Original Agreement.
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:
AMENDMENTS
The Original Agreement is hereby amended as follows:
1. Clause {{original_clause_number}} of the Original Agreement is deleted in its entirety and replaced with the following: “{{new_clause_content}}”
2. A new Clause {{new_clause_number}} is hereby inserted immediately after Clause {{preceding_clause_number}} of the Original Agreement, to read as follows: “{{inserted_clause_content}}”
3. Sub-clause {{original_sub_clause_number}} of Clause {{original_clause_number_for_subclause}} is amended by deleting the words “{{words_to_be_deleted}}” and replacing them with the words “{{replacement_words}}”.

EFFECT OF AMENDMENT
Except as expressly amended by this Agreement, all other terms and conditions of the Original Agreement shall remain in full force and effect and are hereby ratified and confirmed by the Parties.
GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.
The Parties hereto irrevocably agree that the courts of {{jurisdiction_for_disputes}} shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement or its subject matter or formation (including non-contractual disputes or claims).
ENTIRE AGREEMENT
This Agreement, together with the Original Agreement, constitutes the entire understanding and agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the Parties.
COUNTERPARTS
This Agreement may be executed in any number of counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
