Chief Agent Agreement (Short Form)
This Chief Agent Agreement (hereinafter referred to as "Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}
BETWEEN:
{{company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as the "Company"),
AND
{{agent_name}}, an adult individual residing at {{agent_address}}, with identity number {{agent_id_number}} (hereinafter referred to as the "Chief Agent").
1. Appointment
The Company hereby appoints the individual to act as its Chief Agent for the promotion and sale of its products/services namely {{products_services_description}} within the designated territory of {{territory}} (hereinafter referred to as the "Territory"). The Chief Agent accepts such appointment and agrees to discharge the duties and responsibilities hereunder diligently and to the best of their ability.
2. Term
This Agreement shall commence on {{start_date}} and shall continue for an initial period of {{initial_term_length}} unless terminated earlier in accordance with the provisions of this Agreement. This Agreement may be renewed upon mutual written agreement of both parties.
3. Duties and Responsibilities of the Chief Agent
The Chief Agent shall:
a) Promote and sell the Company's products/services exclusively within the Territory.
b) Use best endeavors to achieve sales targets as mutually agreed upon from time to time.
c) Not engage in any activity that may be detrimental to the interests of the Company.
d) Provide regular reports on sales activities and market feedback to the Company as required.
e) Maintain strict confidentiality regarding the Company's business information and trade secrets.
4. Commission and Payment
In consideration for the services rendered, the Company shall pay the Chief Agent a commission of {{commission_percentage}}% on the net sales value of products/services sold by the Chief Agent within the Territory. Commissions shall be calculated and paid {{payment_frequency}} (e.g., monthly, quarterly) within {{payment_days}} days after the end of each payment period. The Company reserves the right to deduct any applicable taxes as required by law.
5. Termination
This Agreement may be terminated by either party by giving {{notice_period}} written notice to the other party. 6. Governing Law and Jurisdiction
