CHIEF AGENT AGREEMENT SHORT FORM
This Chief Agent Agreement (hereinafter referred to as the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}},
BETWEEN:
{{company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as 'The Company').
AND
{{agent_name}}, a natural person/duly incorporated entity, residing at/with its principal place of business at {{agent_address}}, holding National ID/Company Registration Number {{agent_id_number}} (hereinafter referred to as 'The Chief Agent').
The Company and The Chief Agent are collectively referred to as 'The Parties' and individually as 'The Party'.
1. APPOINTMENT
The Company hereby appoints The Chief Agent, and The Chief Agent hereby accepts the appointment, to act as its Chief Agent for the purpose of {{purpose_of_agency}} within the territory of {{territory}} (hereinafter referred to as 'The Territory').
2. DUTIES OF THE CHIEF AGENT
The Chief Agent shall diligently and faithfully perform the following duties:
a. To promote and sell the Company's products/services, namely {{products_services}}, within The Territory.
b. To recruit, train, and manage a team of sub-agents to achieve sales targets.
c. To transmit all orders and enquiries received to The Company without delay.
d. To maintain proper records of all transactions and activities related to the agency.
e. To submit regular reports on sales, market conditions, and competition as required by The Company, specifically {{reporting_frequency}}.
3. COMMISSION AND PAYMENT
The Company shall pay The Chief Agent a commission of {{commission_percentage}}% on the net value of all sales successfully concluded by The Chief Agent or their sub-agents within The Territory.
Commissions shall be calculated and paid on a {{payment_frequency}} basis, within {{payment_days}} days after the end of each period, by way of {{payment_method}}.

4. TERM AND TERMINATION

Either Party may terminate this Agreement by giving {{notice_period}} days' written notice to the other Party.
The Company may terminate this Agreement immediately for cause, including but not limited to breach of contract, fraud, or gross misconduct by The Chief Agent.
5. CONFIDENTIALITY
The Chief Agent undertakes to keep confidential all information, whether commercial or technical, relating to The Company, its products, services, and operations, which may be acquired during the term of this Agreement. This obligation shall survive the termination of this Agreement.
6. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city}}, {{country}}.
INSURANCE
The Chief Agent shall be responsible for maintaining adequate insurance coverage, including but not limited to public liability insurance and professional indemnity insurance, to cover any risks associated with their agency activities. The minimum coverage for public liability insurance shall be {{public_liability_insurance_amount}} {{currency}}.
