AGREEMENT FOR CONTENT PROVISION SERVICES

This Agreement is made effective as of {{effective_date}} (the 'Effective Date'),

BETWEEN:

{{company_name}}, a company duly registered under the laws of [{{jurisdiction}}], with its principal place of business at {{company_address}} (hereinafter referred to as the 'Company').

AND

{{provider_name}}, {{provider_type}} (individual/company), with its principal place of business/address at {{provider_address}} (hereinafter referred to as the 'Content Provider').

Collectively, the 'Parties'.

1. SCOPE OF SERVICES

1.1. The Content Provider agrees to provide content creation services to the Company as detailed in Schedule A (Scope of Work) attached hereto and incorporated by reference.

1.2. Such services may include, but are not limited to, writing articles, blog posts, website copy, video scripts, graphic design, and other related content as mutually agreed upon by both Parties.

2. TERM AND TERMINATION

2.1. This Agreement shall commence on the Effective Date and shall continue until the completion of the services outlined in Schedule A, or until terminated earlier in accordance with the provisions of this Agreement.

2.2. Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party.

2.3. The Company may terminate this Agreement immediately for cause, including but not limited to, breach of confidentiality, failure to meet deadlines, or delivery of substandard content.

3. FEES AND PAYMENT

3.1. In consideration for the services rendered, the Company shall pay the Content Provider a fee as specified in Schedule B (Payment Terms) attached hereto and incorporated by reference.

3.2. Payment shall be made within {{payment_terms_days}} days of receipt of a valid and approved invoice from the Content Provider.

3.3. All fees are exclusive of any applicable taxes, which shall be borne by the Content Provider unless otherwise stipulated by law.

4. INTELLECTUAL PROPERTY

4.1. The Content Provider acknowledges and agrees that all intellectual property rights, including copyrights, in any content created by the Content Provider pursuant to this Agreement shall belong exclusively to the Company upon full payment of the agreed-upon fees.

4.2. The Content Provider agrees to execute any documents reasonably requested by the Company to perfect the Company's ownership of such intellectual property.

5. CONFIDENTIALITY

5.1. The Content Provider agrees to keep confidential all non-public information obtained during the course of providing services under this Agreement, including but not limited to, business strategies, client information, and proprietary data.

5.2. This obligation of confidentiality shall survive the termination of this Agreement.

6. INDEPENDENT CONTRACTOR STATUS

6.1. The Content Provider is an independent contractor and not an employee of the Company. Nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, or joint venture between the Parties.

6.2. The Content Provider is responsible for all their own taxes, insurance, and other employment-related obligations.

7. GOVERNING LAW AND JURISDICTION

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

7.2. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{governing_jurisdiction_city}}, {{governing_jurisdiction_country}}.

8. ENTIRE AGREEMENT

8.1. This Agreement, including its Schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
