CONTRACT MANUFACTURING AGREEMENT
This Contract Manufacturing Agreement (the "Agreement") is entered into on this {{date}} by and between:
{{customer_company_name}}, a company duly incorporated and existing under the laws of {{customer_country}}, with its principal place of business at {{customer_address}} (hereinafter referred to as the "Customer"), and
{{manufacturer_company_name}}, a company duly incorporated and existing under the laws of {{manufacturer_country}}, with its principal place of business at {{manufacturer_address}} (hereinafter referred to as the "Manufacturer").
The Customer and the Manufacturer are hereinafter collectively referred to as the "Parties" and individually as a "Party".
RECITALS
WHEREAS, the Customer is in the business of {{customer_business_description}} and wishes to have certain products manufactured by the Manufacturer;
WHEREAS, the Manufacturer is in the business of {{manufacturer_business_description}} and has the facilities, equipment, and expertise to manufacture the products for the Customer in accordance with the terms and conditions of this Agreement.
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:
1. SCOPE OF MANUFACTURING
1.1. The Customer hereby engages the Manufacturer to manufacture the products as described in Exhibit A (the "Products") in accordance with the specifications, quality standards, and delivery schedules set forth in this Agreement and in Exhibit A.
1.2. The Manufacturer agrees to manufacture the Products with due diligence, using skilled personnel, appropriate materials, and in a professional and workmanlike manner.
2. PRODUCT SPECIFICATIONS AND QUALITY CONTROL
2.1. The Products shall be manufactured in strict conformity with the specifications provided by the Customer, as detailed in Exhibit A. The Customer shall provide the Manufacturer with all necessary technical drawings, designs, bills of material, and quality control procedures.
2.2. The Manufacturer shall implement and maintain a quality control system to ensure that all Products meet the agreed-upon specifications and quality standards.
2.3. The Customer shall have the right, upon reasonable notice, to inspect the Manufacturer's facilities and production processes, and to audit the Manufacturer's quality control records.
3. FORECASTS AND PURCHASE ORDERS
3.1. The Customer shall provide the Manufacturer with rolling forecasts of its anticipated requirements for the Products on a {{frequency}} basis.
3.2. All orders for Products shall be made by the Customer issuing a written purchase order to the Manufacturer. Each purchase order shall specify the quantity of Products, delivery dates, and any special instructions.
3.3. The Manufacturer shall confirm acceptance of each purchase order within {{number}} business days of receipt.
4. PRICING AND PAYMENT TERMS
4.1. The pricing for the Products shall be as set forth in Exhibit B. All prices are in {{currency}}.
4.2. Invoices shall be submitted by the Manufacturer upon {{payment_milestone}}.
4.3. Payment terms shall be {{payment_days}} days from the date of invoice. Late payments may be subject to interest at a rate of {{interest_rate}}% per annum.
5. DELIVERY AND ACCEPTANCE
5.1. The Manufacturer shall deliver the Products to the Customer's designated location at {{delivery_address}} by the delivery dates specified in each purchase order.
5.2. Risk of loss or damage to the Products shall pass to the Customer upon delivery.
5.3. The Customer shall inspect the Products upon receipt and notify the Manufacturer of any non-conformities or defects within {{inspection_days}} days of delivery. Products not rejected within this period shall be deemed accepted.
6. CONFIDENTIALITY
6.1. Both Parties agree to keep confidential all proprietary and confidential information disclosed by the other Party during the course of this Agreement. This includes, but is not limited to, product specifications, designs, manufacturing processes, business plans, and customer lists.
6.2. This confidentiality obligation shall survive the termination or expiration of this Agreement for a period of {{confidentiality_period}} years.
7. INTELLECTUAL PROPERTY
7.1. All intellectual property rights in the Products, including but not limited to patents, copyrights, trademarks, and trade secrets, shall remain the sole property of the Customer.
7.2. The Manufacturer shall not acquire any rights, title, or interest in the Customer's intellectual property.
8. TERM AND TERMINATION
8.1. This Agreement shall commence on the Effective Date and shall continue for a period of {{term_years}} years, unless terminated earlier in accordance with the provisions herein.
8.2. Either Party may terminate this Agreement upon {{notice_days}} days' written notice to the other Party in the event of a material breach of this Agreement by the other Party, provided such breach is not cured within the notice period.
8.3. This Agreement may be terminated by mutual written agreement of the Parties.
9. GOVERNING LAW AND DISPUTE RESOLUTION
9.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}.
9.2. Any dispute arising out of or in connection with this Agreement shall be submitted to mediation in {{mediation_city}}, {{mediation_country}}. If mediation is unsuccessful, the dispute shall be resolved by arbitration in accordance with the rules of the {{arbitration_institution}}.
