ASSIGNMENT OF WEBSITE CREATOR

This Assignment of Website Creator ('Agreement') is made and entered into this {{day}} day of {{month}}, {{year}} (the 'Effective Date'), by and between:

{{creator_name}}, an individual residing at {{creator_address}} (the 'Creator'); and

{{company_name}}, a company duly organized and existing under the laws of {{country}}, with its principal place of business at {{company_address}} (the 'Assignee').

RECITALS

WHEREAS, the Creator has designed, developed, and created a website located at {{website_URL}} (the 'Website') for the Assignee, as more fully described in Schedule A attached hereto.

WHEREAS, the Assignee desires to acquire, and the Creator desires to assign, all rights, title, and interest in and to the Website, including all intellectual property rights.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

ASSIGNMENT

The Creator hereby irrevocably assigns, transfers, and conveys to the Assignee all right, title, and interest in and to the Website, including, without limitation, all copyrights, trademarks, trade secrets, patents, and all other intellectual property rights, whether now known or hereafter existing, throughout the world, in perpetuity.

This assignment includes, but is not limited to, all source code, object code, graphic user interfaces, databases, content, designs, concepts, and documentation related to the Website.

REPRESENTATIONS AND WARRANTIES OF CREATOR

The Creator represents and warrants to the Assignee that:

a. The Creator is the sole owner of all rights, title, and interest in and to the Website and has the full power and authority to enter into this Agreement and to transfer the Website to the Assignee.

b. The Website is original and does not infringe upon or violate any copyright, patent, trademark, trade secret, or other proprietary right of any third party.

c. The Creator has not granted any licenses or encumbrances on the Website that would conflict with the terms of this Agreement.

d. The Creator will cooperate fully with the Assignee in taking all actions and executing all documents reasonably necessary to perfect the Assignee's title to the Website.

CONSIDERATION

In consideration for the assignment of the Website, the Assignee shall pay the Creator a total sum of {{currency}}{{amount}} ({{amount_in_words}}) as follows:

INDEMNIFICATION

The Creator shall indemnify, defend, and hold harmless the Assignee, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of the Creator's representations and warranties contained in this Agreement.

GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{country}}.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
