Recitals

WHEREAS, the Assignor has created a website (hereinafter referred to as "the Website") for the Assignee, with the domain name {{website_domain_name}}.

WHEREAS, the Assignor acknowledges and agrees that the Website was developed within the scope of their employment/contractual engagement with the Assignee or as a work-for-hire.

WHEREAS, the Assignor desires to assign all rights, title, and interest in and to the Website to the Assignee, and the Assignee desires to accept such assignment.

Assignment of Rights

The Assignor hereby irrevocably assigns, transfers, and conveys to the Assignee, its successors and assigns, all of the Assignor’s worldwide right, title, and interest in and to the Website, including, but not limited to, all intellectual property rights therein (such as copyrights, trademarks, design rights, and trade secrets), source code, object code, graphic user interfaces, content, databases, and all related documentation and materials.

This assignment includes the right to sue for past, present, and future infringements of any of the assigned rights.

Representations and Warranties of Assignor

The Assignor represents and warrants that:

a) The Assignor is the sole creator and owner of the Website and has the full right and authority to enter into this Assignment and to assign the rights granted herein.

b) The Website, to the best of the Assignor’s knowledge, does not infringe upon any intellectual property rights of any third party.

c) The Assignor has not previously assigned, transferred, or encumbered any rights in the Website to any third party.

d) The Assignor will not take any action that would impair the Assignee’s ownership of or rights in the Website.

Cooperation

The Assignor agrees to execute and deliver any and all further documents, including copyright registrations and assignments, and to perform any acts that the Assignee may deem necessary or desirable to perfect, confirm, or record the Assignee’s ownership of and rights in the Website, both in Southern Africa and internationally, at the Assignee's expense.

The Assignor further agrees to provide reasonable assistance to the Assignee in any efforts to enforce the Assignee’s rights in the Website.

Indemnification

The Assignor agrees to indemnify, defend, and hold harmless the Assignee from and against any and all claims, demands, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of the Assignor’s representations, warranties, or covenants contained in this Assignment.

Governing Law

This Assignment shall be governed by and construed in accordance with the laws of {{country_of_governing_law}}, without regard to its conflict of law principles.

Entire Agreement

This Assignment constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
